Legal Counsel - Corporate Law/M&A

We are seeking a highly skilled Legal Counsel with strong experience in Mergers & Acquisitions, Private Equity/Venture Capital, and General Corporate Advisory.

The ideal candidate will have a proven track record in handling cross-border transactions, drafting and negotiating complex agreements, and providing strategic legal advice to clients.

This is a non-litigation role, offering exposure to high-value corporate transactions and advisory mandates.

Key Responsibilities:

- Advise clients on cross-border and domestic M&A transactions, private equity, venture capital investments, joint ventures, and shareholder arrangements.

- Draft, review, and negotiate a wide range of commercial and transaction documents, including shareholders agreements, share purchase agreements, investment agreements, and JV agreements.

- Provide legal support on corporate restructuring, corporate governance, fund raises, and compliance issues.

- Conduct due diligence exercises and prepare reports for investment transactions.

- Liaise with internal teams and external stakeholders to ensure smooth execution of transactions.

- Stay abreast of regulatory developments impacting M&A, PE/VC, capital markets, and allied areas.

Key Requirements:

- Law degree (LL.B.) from a recognized National Law University or reputed institution.

- 3 to 6 years of experience working with Tier 1 or Tier 2 law firms in corporate/M&A practice.

- Strong experience in non-litigation corporate law matters.

- Demonstrated expertise in drafting, negotiation, and transaction structuring.

- Excellent analytical, communication, and stakeholder management skills.

- Ability to work in a fast-paced, high-growth environment with multiple priorities.
