Key Responsibilities:
- Develop and implement organization's secretarial and compliance processes and policies in line with statutory requirements to mitigate current as well as future risks.
- Ensure compliance to the Ethics and compliance policy and ensure regular reporting.
- Ensure organizational compliance to all applicable secretarial laws for India.
- Establish a certification/affirmation mechanism for compliance.
- Ensure Board meetings are held as per statutory provisions of law and prepare the agenda and maintain minutes for all Board meetings.
- Provide clarification on legal language or specifications.
- Act as a nodal point of contact for SEBI, RBI and Ministry of Corporate Affairs
- Advise the management on their responsibilities as per the statutory norms in order to protect the interests / reputation of the CEO, Board and the organization.
- Ensure timely and efficient communication to investors in order to have proper disclosures in line with good corporate governance practices.
- Compile quarterly compliance report and ensure follow up for all areas of noncompliance identified for the company.
- Monitor all out of order transactions on a quarterly basis and Provide Approval for all client related expenditures.
- Undertake appointment for third party auditors and coordinate with all departments for timely closure of audits.
- Maintain current knowledge of alterations in legislation.
Must Have:
- You should be qualified lawyer and a company secretary having handled both legal and secretarial work preferably with a financial institute. You should have great communication and stakeholder management skills.
- 8 years to 12 years of post qualification experience. Qualified to practice in India.
- Possesses core technical knowledge in laws and regulations applicable to the business.
- Ability to analyze relevant laws and regulations and correlate regulatory issues to products and business models.
- Ability to identify and articulate Legal & Corporate Secretariat issues, and to make clear decisions or recommendations on those issues.
- Ability to deal with granularity of issues.
- Delivery of high-quality work, in a limited amount of time.
- Keen eye for detail.
- Able to multitask, prioritize, and meet deadlines.
- Strong collaboration skills, especially with business and technology partners.
- Ability to handle sensitive material responsibly and can be trusted with sensitive information.
