Role Overview: We are looking for an experienced Company Secretary (CS) to lead the Secretarial & Corporate Governance team. This role involves ensuring regulatory compliance, corporate governance, and IPO readiness while handling all secretarial functions. Key Responsibilities: - Act as Company Secretary & Compliance Officer as per SEBI and Companies Act. - Ensure strong corporate governance practices and compliance with SEBI, RBI, MCA, and other regulations. - Prepare the organization for IPO and lead post-IPO regulatory functions. - Manage secretarial audits, regulatory filings, and board documentation (Notices, Agendas, Resolutions, Minutes, ROC filings, etc.). - Handle the listing of Non-Convertible Debentures (NCDs), Commercial Papers, and Foreign Currency Bonds. - Oversee the preparation of Annual Reports as per the Companies Act, 2013. - Liaise with regulatory authorities, auditors, legal advisors, and other stakeholders. - Ensure compliance with Companies Act, SEBI guidelines, exchange regulations, and debt/equity listing requirements. - Stay updated on regulatory developments and oversee the legal department. Skills & Qualifications: - Company Secretary (CS) qualification (PG in CS preferred). - 10-15 years of experience, with 3-4 years in a listed company (mandatory). - Experience in a listed company or IPO preparation is highly preferred. - Strong drafting, communication, and presentation skills. - Ability to work independently with senior management and board members. - Critical thinking, strategic orientation, and strong business acumen.
