Key Responsibilities:
M&A Deal Execution:
- Support and lead end-to-end execution of M&A transactions, with a primary focus on buy-side acquisitions.
- Drive deal processes from target evaluation through closure, including transaction structuring, valuation, negotiations, due diligence, and deal completion.
- Coordinate with investment bankers, legal counsel, financial advisors, consultants, and other external stakeholders.
Financial Analysis & Valuation:
- Develop detailed financial models and investment cases to evaluate acquisition opportunities.
- Perform valuation analysis using DCF, Comparable Company Analysis, Precedent Transactions, IRR, ROI, sensitivity analysis, and scenario modeling.
- Assess synergy potential, strategic fit, and financial impact of transactions.
Due Diligence & Transaction Management:
- Manage commercial, financial, tax, legal, HR, and operational due diligence workstreams.
- Coordinate internal stakeholders and external advisors to ensure timely completion of diligence activities.
- Analyze key findings, identify risks, and prepare actionable recommendations for leadership.
Deal Documentation & Negotiations:
- Draft, review, and support negotiations of Non-Binding Offers (NBOs), Term Sheets, Letters of Intent, and other transaction-related documents.
- Assist leadership during negotiations and transaction structuring discussions.
Management & Board Presentations:
- Prepare concise and insightful investment memos, business cases, and board presentations.
- Present financial, strategic, and operational assessments to senior leadership for approval and decision-making.
Market Research & M&A Strategy:
- Conduct industry research, competitor analysis, and market mapping exercises.
- Identify potential acquisition targets aligned with the company's strategic priorities.
- Track sector trends, emerging technologies, and market consolidation opportunities within the IT Services and Engineering Services landscape.
Preferred Candidate Profile:
- 3-6 years of relevant experience in M&A & Due Diligence.
- Qualified CA or MBA from Tier 1 B-Schools Mandatory.
- Prior experience in IT Services, Engineering Services, ER&D, Technology, Digital Engineering, or Investment Banking (TMT) strongly preferred.
- Demonstrated experience in executing M&A transactions and managing cross-functional deal teams.
- Strong financial modeling and valuation capabilities.
- Ability to analyze complex business situations and translate findings into strategic recommendations.
- Excellent presentation, communication, and stakeholder management skills.
- Advanced proficiency in Excel and PowerPoint.
- Self-driven, intellectually curious, and comfortable working in a fast-paced environment with senior stakeholders.
