About the Role - You will play a strategic role in ensuring that the Company complies with legal and regulatory requirements, as well as maintaining high standards of Corporate Governance. You will be a vital link between Board of Directors, Investors Representative, Executive Management, CXO and other Key Stakeholders. - Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws; - Coordinate the board/general meetings and follow-up actions thereof; - Advises on Compliance of legal and procedural aspects under various corporate laws which inter alia includes Securities and Exchange Board, Foreign Exchange, Mergers and Acquisitions, Foreign Collaborations and JV's; - Experience in managing and handling regulators (RBI, SEBI & ROC); - Assist the Board and the Senior Management in overseeing the implementation of Compliance Policy, including other regulatory policies and standard operating procedures Compliance Manuals, internal codes of conduct, etc.; - Play the central role in identifying and mitigating the level of Compliance risk in existing / new products and processes.; Reviewing and streamlining the loan products and new business solutions from legal and compliance perspective; Qualifications - A Qualified CS - Strong understanding of Company Law, Rules, Secretarial Practices and other Corporate Laws. Exposure to requirements of regulator such as SEBI, RBI is must. - Between 10-15 years post qualifications experience in Compliance/Secretarial function of Banking/NBFC industry. - Strong analytical and problem-solving skills and can thrive under pressure - Good interpersonal skills and people management skills - Exceptional communication (both written and verbal) skill
