Role & responsibilities:
Transaction Structuring & Deal Support:
- Own and oversee multiple concurrent engagements across mergers, demergers, BTA, acquisitions, shareholder exits, fund repatriation, pre-IPO restructuring and domestic and cross-border reorganisations, mainly from a regulatory and tax perspective.
- Provide direction on transaction structures, advising on Income Tax Act, Companies Act, FEMA, Stamp Duty, SEBI Regulations, IND AS and other applicable laws, and take full accountability for quality and timeliness of client deliverables.
- Significant importance will be on ideation. Ideation and ability to successfully execute transactions will be a core determinant of your success.
- Lead and review cross-border advisory covering tax treaty application, PE risk, dividend and royalty withholding and pre-immigration and post-immigration planning (lower priority).
- Lead India-US advisory covering cross border reorganisations and structuring, CFC/PFIC implications, FTC, source and residency determination (lower priority).
- Lead India-UAE cross-border structuring, encompassing holding structures, UAE Free Zone entities, and other tax-efficient vehicles, while leveraging applicable domestic exemptions to achieve overall group efficiency.
- Advise on ESOP and equity incentives including stock options, RSUs, SARs and phantom equity, covering perquisite tax, TDS, trust structuring, vesting mechanics, and pre-IPO / PE-backed plan design (lower priority).
- Significant use of AI in making tasks more efficient, which includes designing or getting systems designed.
- Actively work towards growing the practice.
- Represent the team at industry forums, publish thought-leadership through KCM's knowledge platforms, and conduct high-value client seminars to deepen the firm's advisory visibility and strengthen its professional network.
