Job Overview:

We are seeking an experienced and dynamic lawyer to join our team as an Associate Director. The successful candidate will be responsible for managing legal aspects related to Mergers and Acquisitions (M&A), investor relations and fund-raising activities. The ideal candidate should have a strong background in law, with a preference for those with past law firm experience and a minimum of 5 years of post-qualification experience (PQE).

Responsibilities:

1. M&A Management:

- Oversee and provide legal support for mergers, acquisitions, and other strategic transactions.

- Conduct due diligence and ensure compliance with all legal requirements during the M&A process.

2. Investor Relations:

- Act as a key point of contact for investor relations, addressing legal queries and providing necessary information to investors.

3. Fund-Raising:

- Assist in structuring and negotiating fundraising transactions.

- Draft and review legal documentation related to fundraising activities.

4. Shareholders' Agreement (SHA) Compliance:

- Ensure compliance with the terms and conditions outlined in the Shareholders' Agreement.

- Draft, review, and negotiate SHAs to protect the company's interests.

Qualifications and Experience:

- Bachelors degree in law from a recognized institution.

- Admission to the Bar with a minimum of 5 years of post-qualification experience.

- Previous experience in a law firm, particularly in the areas of M&A, corporate governance, and regulatory compliance.

- In-depth knowledge of SEBI and IRDAI regulations.

- Strong negotiation and communication skills.

- Ability to work independently and collaboratively in a fast-paced environment
