Job Summary:

The role involves managing corporate secretarial, regulatory, and legal compliances for the Company, with a focus on NBFC regulations, governance standards, and stakeholder management. The position also involves advising management on corporate governance, regulatory risks, and compliance frameworks.

Key Responsibilities:

A. Regulatory & Secretarial Compliance

- Ensure compliance with Companies Act, 2013, RBI regulations, and Secretarial Standards

- Make necessary filings with ROC, MCA, RBI, and other authorities

- Maintain statutory registers and records

- Manage compliance calendar

B. Corporate Governance

- Draft and circulate notices, agendas, and minutes for Board/Committee/General Meetings

- Ensure proper constitution and functioning of statutory committees

- Support governance best practices

C. Corporate Actions & Capital Management

- Handle private placement, rights issue, and allotment processes

- Manage ESOP compliances

- Coordinate ISIN creation and liaison with NSDL/CDSL and RTA

D. FEMA & Investment

- Handle FDI and FEMA compliances

- Ensure investor reporting and disclosures

E. Legal & Documentation

- Draft, vet, and review contracts and legal documents

- Support regulatory correspondence and litigation matters, if required

F. Risk & Compliance Management

- Monitor regulatory developments and assess impact

- Support internal and external audits

- Handle regulatory inspections and notices

G. Authority & Stakeholder Interaction

- Represent the Company before regulatory authorities

- Liaise with lenders, investors, and consultants

Requirements:

- Qualified Company Secretary (ACS/FCS) and/or Law Graduate

- 4-7 years of post-qualification experience, preferably in NBFC/financial services

- Experience in regulatory audits and due diligence

- Strong understanding of corporate and financial regulations

Preferred Skills:

- Strong drafting and negotiation skills

- Proficiency in MCA and compliance tools

- Strong stakeholder management

- High attention to detail and risk orientation

- Ability to work independently
