INDIALAW - Associate - Banking & Finance

Role Overview:

- We are looking for a dynamic and detail-oriented Associate to join our Banking & Finance practice.

- The role involves advising banks, financial institutions, corporates, and borrowers on a wide range of financing transactions, including project finance, real estate finance, regulatory compliance, and restructuring matters.

- The ideal candidate will have strong drafting skills, sound regulatory knowledge, and hands-on transaction exposure.

Key Responsibilities:

- Draft, review, and negotiate a broad range of financing and security documents, including:

- Loan and Facility Agreements (term loans, working capital, project finance)

- Security documents such as mortgages, hypothecation, pledge agreements, and guarantees

- Inter-Creditor Agreements and related ancillary documents

- Advise clients on legal and regulatory aspects of financing transactions, including compliance with RBI, SEBI, and other applicable financial sector regulations.

- Conduct legal due diligence on companies, assets, and security structures for secured lending, project finance, and structured finance transactions.

- Assist in structuring and execution of transactions involving project finance, acquisition finance, real estate finance, and corporate lending.

- Support senior team members in restructuring, refinancing, and enforcement matters.

- Advise on enforcement of security and recovery actions under applicable laws, including the SARFAESI Act, Insolvency and Bankruptcy Code (IBC), and relevant civil remedies.

- Coordinate with internal teams and external stakeholders such as clients, banks, NBFCs, financial advisors, rating agencies, and regulatory authorities.

- Track and stay updated on legal and regulatory developments in banking, finance, and insolvency laws, and provide practical inputs to the team.

Requirements / Qualifications

- LLB from a recognized Indian law university.

- 1-2 years of post-qualification experience in Banking & Finance at a law firm or in-house legal team.

- Hands-on experience in drafting and negotiating financing and security documentation.

- Strong understanding of Indian banking regulations, including RBI guidelines and related financial laws.

- Familiarity with SARFAESI Act, IBC, and debt recovery mechanisms is preferred.

- Excellent drafting, analytical, and communication skills.

- Ability to manage multiple matters, work under timelines, and collaborate effectively with teams and clients
