Roles and responsibilities:

- Serving as the primary point of contact for the board of directors, shareholders and regulatory authorities on corporate governance matters.

- Ensure compliance with SSHA and making sure all board/shareholder approvals are obtained in a timely manner.

- Coordination with different teams to frame company level policies including credit policies and getting those approved by the board

- Convene and manage Board Meetings, AGMs, and EGMs, including drafting agendas, minutes, resolutions and annual report

- Maintain statutory registers and filings with RoC and other regulatory authorities

- Draft and vet legal documents, shareholder communications, and Board resolutions to ensure legal soundness and corporate alignment

- Continuously monitor and interpret regulatory developments related to secretarial governance, and recommend corresponding adjustments to internal policies and operational protocols

- Support statutory and internal audits with timely documentation and responses.

NBFC Specific:

- Collaborate with Treasury and Finance teams for fund-raising documentation (e.g., Debenture Trustee Agreements, Trust Deeds, Deeds of Hypothecation) for Non-Convertible Debentures (NCDs) and charge creation.

- RBI Filings through COSMOS portal in a timely manner

- Managing monthly compliance on all borrowings and providing receivable cover at each month end.

- Tracking debt covenants for all lenders.

- Taking care of RBI's regulations on Fraud reporting, fraud monitoring, reporting to RBI etc

- Ensure the optimal constitution, regulatory alignment, and effective functioning of Board Committees (Audit, Nomination & Remuneration, CSR, etc.) as specified under the Companies Act, 2013 and RBI regulations applicable to NBFCs

Qualifications & Skills:

- Qualified Company Secretary (ACS/ FCS) with strong knowledge of corporate laws and governance practices.

- 3-5 years of relevant experience.

- Excellent drafting, communication, and stakeholder management skills
