We are Looking for Independent Director for Machine Manufacturing Firm

Key Responsibilities:

1. Governance & Oversight

- Ensure compliance with applicable laws, regulations, and internal policies.

- Monitor the companys risk management framework, especially in areas like safety, environmental compliance, and industrial regulations.

2. Strategic Guidance

- Provide independent perspective in evaluating and shaping strategic direction, expansion plans, new product lines, automation/digital transformation, etc.

- Review capital investments, R&D priorities, and strategic partnerships or joint ventures.

- Ensure that long-term value creation is a central focus of strategic decisions.

3. Board Participation

- Attend board and committee meetings regularly.

- Actively participate in subcommittees such as Audit, Nomination & Remuneration, Risk, or ESG (Environmental, Social, Governance).

- Provide unbiased views and constructive feedback.

4. Performance Monitoring

- Monitor performance of executive management against agreed goals.

- Review financial performance, operational KPIs, and productivity metrics.

- Ensure sustainability practices and lean manufacturing are supported and evaluated.

5. Stakeholder Engagement

- Safeguard the interests of minority shareholders and all stakeholders.

- Promote transparent communication and ethical behavior across the organization.

6. Succession & Talent Development

- Oversee CEO and key executive succession planning.

- Promote leadership development, safety culture, and workforce upskilling initiatives.
