
Company Secretary
Job Description:
We are seeking a qualified and detail-oriented Company Secretary with 24 years of post-qualification experience in the Petrochemical, Plastics, or Rubber industry.
Key Responsibilities (KRA):
- Ensure timely compliance with all statutory obligations under Companies Act, 2013, SEBI, FEMA, and other applicable regulations
- Draft, review, and maintain statutory records including minutes of Board, General, and Committee Meetings
- File necessary forms, returns, and documents with ROC, MCA, SEBI, and other regulatory authorities
- Manage secretarial work relating to board meetings, AGMs, and EGMs
- Maintain and update registers including Register of Members, Directors, Charges, etc.
- Ensure timely renewal of licenses, approvals, and corporate registrations
- Liaise with internal stakeholders, auditors, and government departments for inspections and compliance audits
- Handle legal and compliance matters related to joint ventures, MOUs, agreements, and contracts
- Draft resolutions, notices, and agendas for Board and shareholder meetings
- Support corporate restructuring, M&A, or investment processes if applicable
- Ensure compliance with industry-specific regulations relevant to petrochemical and plastic manufacturing
- Assist in corporate disclosures, investor communications, and annual report preparation
- Monitor changes in legal and regulatory environments and advise management accordingly
Required Skillsets:
- Strong knowledge of Companies Act, SEBI Regulations, FEMA, and industrial laws
- Proficiency in handling secretarial software and MCA portal filings
- Excellent drafting and legal interpretation skills
- Strong understanding of compliance frameworks in the manufacturing sector
- Familiarity with environmental and industrial safety compliance (preferred)
- Strong organizational and documentation skills
- Good interpersonal and communication abilities
- High level of integrity, professionalism, and attention to detail
Qualifications:
- Qualified Company Secretary (ACS)
- 2 to 4 years of post-qualification experience in a manufacturing setup, preferably petrochemicals, plastics, or rubber
