Description:

Role Overview:

The Head Legal & Company Secretary will be responsible for leading the organizations legal, regulatory, and corporate governance functions.

The role involves advising the Board and senior leadership, managing end-to-end IPO-related compliances, ensuring adherence to Companies Act and SEBI regulations, and overseeing all legal documentation and statutory filings.

The incumbent will act as the key interface with regulators, advisors, and external stakeholders while strengthening governance frameworks across the organization.

Key Responsibilities:

Corporate Governance & Board Advisory:

- Act as a trusted advisor to the Board of Directors and Senior Management on legal, regulatory, and corporate governance matters.

- Ensure compliance with Companies Act, 2013, SEBI regulations, and applicable governance standards.

- Prepare and circulate Board and Shareholders meeting notices, agendas, notes, and minutes in line with statutory requirements.

- Maintain statutory registers, records, and governance documentation.

IPO & Capital Market Compliance:

- Lead and manage end-to-end IPO compliance, including preparation, review, and filing of prospectus, listing applications, and statutory disclosures.

- Coordinate with investment bankers, merchant bankers, auditors, legal counsels, registrars, and other external stakeholders involved in the IPO process.

- Support IPO due diligence, valuation coordination, pricing discussions, and share allocation processes.

- Ensure compliance with SEBI ICDR, LODR, and other applicable capital market regulations.

Regulatory & Statutory Compliance:

- Ensure ongoing compliance with SEBI (LODR) Regulations, Companies Act, and other applicable corporate laws.

- Oversee filings and compliances with ROC, RD, SEBI, RBI, and other regulatory authorities.

- Ensure compliance with RBI regulations, FEMA, ODI, FDI, and foreign exchange laws, as applicable.

- Monitor regulatory developments and advise management on legal and regulatory changes impacting the business.

Legal & Contract Management:

- Draft, review, negotiate, and finalize commercial contracts, shareholder agreements, vendor agreements, and other legal documents.

- Maintain a central repository of executed agreements and track renewals, validity, and contractual obligations.

- Provide legal support to business teams on operational, strategic, and transactional matters.

Compliance Monitoring & Risk Management:

- Oversee charge creation, modification, and satisfaction, including statutory filings.

- Track overall compliance status and ensure timely closure of statutory and regulatory actions.

- Monitor notices, inquiries, or communications received from regulators and ensure appropriate and timely responses.

- Handle litigation matters, if any, and coordinate with external legal counsels.

- Prepare and present monthly compliance and risk status reports to management and the Board.

Required Skills & Experience:

- 12-18 years of relevant experience in corporate legal, company secretarial, and regulatory compliance roles.

- Strong hands-on experience with IPO-related compliances, SEBI regulations, and listed company governance.

- In-depth knowledge of the Companies Act, 2013, SEBI (LODR), FEMA, RBI regulations, and corporate laws.

- Proven experience liaising with regulators, statutory authorities, auditors, bankers, and external legal advisors.

- Strong expertise in contract drafting, negotiation, and legal risk management.

- Excellent written and verbal communication skills with the ability to interact at Board and CXO levels.

- High level of integrity, attention to detail, and ownership mindset
