Head/General Counsel - Legal - IT

Description:

- Position: Head Of Legal / General Counsel.

- Required Experience: 12-18 years in in technology and corporate law.

- Position Summary:

- Establish legal, compliance, and regulatory functions for multi-tenant AI platform operations.

Principal Accountabilities:

- Draft and negotiate enterprise licensing agreements and distribution partnerships directly.

- Develop legal frameworks for platform operations and customer-built applications.

- Create terms of service addressing liability in multi-tenant environments.

- Protect proprietary technology through patents, trade secrets, and contractual protections.

- Manage patent portfolio and trademark protection across international markets.

- Design compliance frameworks for GDPR, CCPA, and industry-specific regulations.

- Establish data residency protocols for cross-border data transfers.

- Lead organization through SOC 2 and ISO certifications.

- Structure employment agreements, equity plans, and HR compliance requirements.

- Support fundraising activities including term sheet negotiation and documentation.

- Personally negotiate complex commercial contracts exceeding one hundred thousand annually.

- Review vendor agreements while maintaining operational velocity and risk management.

- Provide direct counsel on regulatory implications of technical development decisions.

- Manage board documentation, corporate records, and governance procedures directly.

- Respond to legal process, regulatory inquiries, and enforcement actions.

- Develop internal legal templates enabling organizational scalability without external counsel.

Required Qualifications:

- Master's degree in law with active bar membership.

- 12-18 years progressive legal experience at high-growth technology organizations.

- Expertise in technology transactions, software licensing, and intellectual property law.

- Proven track record negotiating and closing complex commercial transactions.

- International regulatory experience across European, Asian, and North American jurisdictions.
