
Head Ethics and Ethical Compliance
Leadership in Ethics
- Lead the corporate ethics and compliance program, continuously reviewing and updating as appropriate.
- Set and promote ethical standards, in accordance with the Code of Conduct as well as its values.
- Lead in developing, refining, and adapting quality standards related to ethics and compliance programs to meet evolving requirements; and promote consistently high standards across the company.
- Provide advice to senior management and functional leadership in complex problem-solving situations related to ethics and compliance to build consensus, identify strategic priorities and directions, and ensure successful outcomes.
- Help develop, continually improve, and support internal stakeholders to identify new ways to implement ethical practices and discuss how they can implement ethics at work.
- Provide periodic updates to the Audit Committee, the Ethics and Compliance Committee, senior management, and other internal stakeholders.
- Develop the internal strategy and framework of the Ethics and Compliance team as well as establish the annual work plan and budget in collaboration with the team and stakeholders, including setting objectives, performance measurements, standards and results expected
- Allocate resources and manage budget to achieve programmatic goals, and utilizes effective approaches to meet needs, achieve targets, and enhance accountability
- Monitor implementation of the Ethics and Compliance team's work plan, oversee progress and ensure the delivery of results as planned and according to expectations
- Supervise, mentor, and evaluate staff, communicating clear performance goals and standards, offering regular performance feedback and prompt resolution of problems, and ensure staff have the time and opportunity to grow and develop in key competency areas
- Promote teamwork and collaboration by providing the team with clear direction, objectives, and guidance to enable them to perform their duties responsibly, effectively and efficiently.
- Ensure appropriate external reporting of significant violations observed or complaints received.
Ethics Culture
- Support management in the development of a suitable 'Tone at the Top'
- Ensure development, implementation and continuous evolution of the initiatives for raising awareness of the company's core values, ethical standards and expected professional conduct, both internally and externally including the Ethics Ambassadors Program, the Ethics Week initiative, emailers campaign, etc.
- Ensure stakeholders are proactively engaged, to achieve compliance and integrity standards.
- Ensure appropriate guidance is available on company's Code of Conduct and relevant policies
- Ensure there are appropriate mechanisms for a coherent application of ethics standards, driving the culture of integrity, accountability, transparency, respect and professionalism
- Ensure development and delivery of training sessions to company's employees on its Code of Conduct, ethical best practices, and guidelines for better compliance.
- Ensure there are relevant compliance and ethics training opportunities for all personnel (i.e., from onboarding, through induction to ongoing development)
Policy Framework
- Develop new or update existing policies (including the code of conduct) to promote ethics.
- Ensure that all company policies are ethical and adhere to government compliance regulations.
- Drive periodic review to update internal policies and procedures.
Complaint Resolution
- Ensure the proper functioning of the company's internal and whistleblower complaint reporting channels and monitor the effective application of the Whistleblower policy.
- Act as an independent evaluation and review body to ensure that incidents and compliance concerns within the company are evaluated, investigated, and resolved in a confidential, objective, and independent manner.
- Lead the team to promptly conduct investigations on ethics and compliance issues received through various intake sources, ensure appropriate action for resolution of issues and systems improvements, and prompt reporting to internal and external stakeholders.
- Ensure all investigations are conducted in accordance with company's incident response mechanism and methodologies.
- Oversee implementation of remediation actions as directed by the Ethics and Compliance Committee
- Oversee case management, tracking, analytics, and reporting for preparing periodic reports for the Ethics and Compliance Committee and other internal and external stakeholders.
Risk and Compliance Assessments
- Identify areas of potential vulnerability and ethics and compliance risks, develop and implement action plans to prevent, detect and / or mitigate ethics and compliance issues.
- Conduct regular assessments of ethics and compliance opportunities and risks, and design and execute risk management and mitigation strategies
- Plan, conduct, and oversee compliance assessments in identified areas including anti-bribery and corruption, privacy, competition, and international trade
- Effectively engage with relevant stakeholders for discussing findings and remediation actions
Knowledge Management and Innovation
- Ensure appropriate tools and evaluation mechanisms are in place to provide regular feedback on the existing ethics and compliance management practices, to ensure their continual relevance to day-to-day operations, also in the light of external benchmarking and recent thought leadership in the subject of compliance management.
- Enable the exchange of lessons learnt and best practice for proactive compliance management, between all functions within company.
- Drive development and implementation of best practice and innovative compliance management approaches, minimise risks and maximise reliable achievement of objectives, whilst addressing uncertainty and acting with integrity
