Key Responsibilities:
- Direct the end-to-end secretarial audit process to ensure absolute compliance with the Companies Act and SEBI regulations, thereby mitigating legal risks for the organization.
- Lead the execution of complex M&A transactions, including due diligence, restructuring, and post-merger integration, to support the company's inorganic growth objectives.
- Manage comprehensive Investor Relations programs by facilitating transparent communication channels between the board and shareholders to build market trust and confidence.
- Oversee the preparation and management of board meetings, committee sessions, and general meetings, ensuring that all corporate records and filings are maintained with precision and timeliness.
- Advise the Board of Directors on evolving corporate governance trends and regulatory shifts to ensure the company remains ahead of industry best practices.
Required Skillset:
- Demonstrated expertise in navigating the intricacies of corporate law, secretarial audits, and regulatory filings within a large-scale corporate environment.
- Proven ability to lead M&A activities, including drafting transaction documents and managing regulatory approvals, with a focus on seamless deal closure.
- Exceptional interpersonal skills to engage effectively with board members, institutional investors, and regulatory authorities, maintaining a high level of professional discretion.
- Strong strategic communication abilities to articulate complex financial and governance narratives to diverse stakeholder groups.
- Qualified Company Secretary (ACS/FCS) with a deep understanding of the Indian regulatory framework and a track record of managing high-pressure corporate environments.
- Ability to thrive in a fast-paced metro office setting, demonstrating the agility to balance multiple high-priority projects while maintaining meticulous attention to detail.
