Role : Head - Company Secretary
Our Client works in a highly regulated environment with a host of regulators like SEBI, RBI, AMFI, FMC, IRDA etc. regulating its day to day operations. In addition to the regulator our client is also subject to close monitoring and inspection through various agencies like NSE / BSE / NCDX / MCX / NSDL / CDSL etc. Our Client also operates in a highly competitive market mainly in fragmented industry with Our Client's competition from major National Broking houses like ICICI Securities, HDFC Securities, Angel Broking, MOFSL etc. and a range of local Broking outfits.
The Secretarial department would validate the regulatory, risk assessment and compliance requirements for the new business initiatives and product launches, business compliance as applicable, establish a sound corporate governance framework, and provide transactional support in all business initiatives including in client dealing and regulatory liaising at various levels.
Key Responsibilities of Head - Company Secretary :
- Preparation and timely reviewing of various internal policies and guidelines pertaining to trading, research regulations, anti-money laundering, broker/distributor empanelments etc. as per the regulations for the organisation.
- Appraising Board/management/employees by interpreting regulatory changes and disseminating regulatory guidelines/circulars and assisting business in timely implementation of such regulatory guidelines.
- Engaging with business and back-office stakeholders on a continual basis and providing necessary guidance on significant compliance related matters including review of marketing material.
Primary Challenges :
- Keeping abreast of the latest legal/statutory amendments in various functions and to implement timely adherence to such amendments
- Liaising with multiple regulators, asserting adherence to risk findings in business decisions and finding quick solutions to issues while protecting the interest and image of the company.
The critical skill sets required to meet these challenges are a strong compliance background, knowledge of statutory regulations, strong analytical skills and proactive decision making, detail orientation, excellent communication and negotiation skills.
KRA (Accountabilities) :
KRA 1 :
To manage Secretarial process framework for the organization.
- To implement corporate governance and secretarial practices in line with group standards and ensure fully compliant branch operations.
- To keep board members up to date with strategic issues and economical changes affecting the company.
KRA 2 :
To manage the Inspections and Audit
- Effective interaction in all audit and regulatory inspections
- Validation of inspection observations and vetting replies of audit and inspection findings.
- Providing assistance to head of internal audit ABC in formulation of audit plan conducive with the nature and requirement of the business.
- Updating all stakeholders of all inspection and audit program.
KRA 3 :
To convene meetings and conduct statutory liaisoning with external stakeholders.
- To convene board/general/committee meetings and ensure that they conform to board/committee charters and regulations.
- To draft notices, agenda and minutes and follow up on the implementation of resolutions decided in the meetings.
- To liaise with regulatory bodies like registrar of companies, company law board and government agencies for statutory compliances and other secretarial work.
- To assist the CFO in due diligence at private equity, merger and acquisition stage.
- To co-ordinate holding company secretarial department in the matter of corporate governance.
KRA 4 :
To perform all ancillary functions to ensure that legal processes are successfully resolved.
- To update the management on evolving judicial trends, legislative proposals, policy changes and update the processes in collaboration with corporate legal cell.
- To draft new policies as required by organization needs or statutory laws and review existing policies to update them in accordance with latest legal rulings.
- To advice the management from a strategic perspective (due diligence) to ensure that joint venture and amalgamation decisions are taken in a well-informed manner.
