The Head Company Secretary is a key executive responsible for managing all corporate secretarial and compliance matters within a listed company. They report directly to the board of directors and play a pivotal role in maintaining corporate governance and ensuring that the company adheres to all legal and regulatory requirements. Key Responsibilities : 1. Corporate Governance: Ensure that the company complies with all corporate governance regulations, codes, and best practices. Advise the board on corporate governance matters and facilitate board meetings and related documentation. 2. Regulatory Compliance: Stay updated on relevant laws, regulations, and guidelines applicable to the company's industry and business operations. Ensure the company's compliance with all statutory and regulatory requirements. 3. Board Support: Assist the board of directors in conducting effective and efficient meetings. Prepare and distribute meeting agendas, board papers, and minutes. Maintain records of board decisions and resolutions. 4. Annual General Meeting (AGM): Oversee the planning and execution of the company's AGM, including preparing the annual report, proxy forms, and ensuring compliance with AGM-related requirements. 5. Company Records: Maintain and update statutory records, registers, and documents required by law. Ensure that these records are accessible and up to date. 6. Shareholder Relations: Manage communication with shareholders, handle queries, and facilitate shareholder meetings. Ensure proper documentation of share transactions and shareholding details. 7. Compliance Reporting: Prepare and file various statutory and regulatory reports and returns as required by authorities such as the Registrar of Companies (RoC), SEBI, and stock exchanges. 8. Legal Support: Coordinate with the company's legal team or external legal advisors to manage legal matters, contracts, and litigation related to the company. 9. Risk Management: Identify, assess, and manage legal and compliance risks. Develop and implement risk mitigation strategies and policies. 10. Advisory Role: Provide strategic advice to the board and senior management on corporate governance, compliance, and legal matters. Keep them informed of changes in relevant laws and regulations. 11. Training and Development: Ensure that board members and company employees are aware of their responsibilities regarding corporate governance and compliance. Conduct training programs as needed.
