Corporate Secretarial : - Responsible for overseeing compliance with Secretarial Standards, and rules/notifications issued by Central Government for the purpose of the Companies Act, 2013. - In coordination with the chairman of Harsco India Private Limited and Harsco India Metals Private Limited, set Board meeting and AGM calendar, issue notices and agendas for meetings and prepare minutes for each meeting. Should be able to conduct the board meetings, general meetings and committee meetings (CSR). - Coordinate with Directors to ensure submission of annual eligibility, DIR-3 KYC and disclosure of interest forms. - Lead the merger activities for Indian Entities. - Ensure all the Registers required are maintained / updated as per Companies Act. - Be a guide & also to ensure that all the law related changes are implemented for all Entities. - FEMA related compliances (FLA filing, FCGPR, etc.,). - Maintain & overview annual compliance calendar for Harsco's India Entity in India - 2 Legal entities Audits & Taxation : - Handle Statutory, Internal and Tax Audit independently, arrange for the data required for the audits, closely working with Site team and Shared service team for details and closely working with Statutory auditors till finalization of accounts. - Coordinate with Harsco's finance department on the preparation, approval and filing of annual financial statements and audit of accounts for each financial year for Indian Entities. - Banking related activities (arranging LC's/BG's, Creation/satisfaction of charge, credit facility related documentations, etc.,) - Handle special assignments relating to finance & accounts. Interpersonal Skills : - Demonstrated ability to interact effectively with internal team members, company employees, company managers, clients, vendors, and customers (as may be necessary for the completion of assigned duties) - Demonstrated ability to communicate effectively and tactfully with diverse groups of individuals and at all levels of an enterprise - Demonstrated excellent verbal and written communication skills. - Demonstrated self-motivation, ability to work with minimal direction, ability to multitask, and strong organizational, project management, and problem-solving skills Technical Skills : - Proficient with MS Office Word, Excel, Outlook. - Experience with Business Reporting Language (XBRL) Filing. - Ability to read, analyze and interpret legal and business periodicals, professional journals, cases, statutes and regulations. - Ability to quickly learn custom company programs. - Knowledge of Direct Tax and Transfer pricing shall be added advantage. Qualification Requirements : - Qualified member of the Institute of Company Secretaries of India (should have valid membership of ICSI). - Experience either as a Company Secretary, Assistant Company Secretary, or Secretarial Executive.
