Role & responsibilities
1. Business acquisition deal structuring - 60%:
a. Understanding the business deal
b. Propose alternate transaction structuring options which are tax-efficient and generate more returns.
c. Detailed discussion with Business development team / Regional heads/Legal team/ Tax consultants.
d. Identifying accounting impacts.
e. Zero leakage in cash flow analysis while structuring the deal.
f. Reading the entire set of documents to execute a business acquisition deal and suggesting changes in relevant clauses (wherever required).
g. Discussion with Joint venture partners and understanding their end requirements and proposing suitable arrangements in the agreement which satisfies the requirements of both sides.
h. Good knowledge of Income tax and working knowledge of GST / companies act.
2. IDT - 40%
IDT :
a. Working knowledge of SAP
b. Supervision of GST returns filing and GST audit.
c. Ensuring compliances of GST requirements.
d. Attending assessments and appeals with the help of tax consultants (wherever required).
e. Giving guidelines within zones with respect to new GST requirements / circulars etc and getting this implemented.
f. Advising internal stakeholders on GST related clarifications.
g. Support in new business acquisition deals and its structuring.
Preferred candidate profile
Qualified Chartered Accountant (CA)
- 5 to 10 years of relevant experience in commercial, accounting, M&A and transaction advisory
- Strong technical knowledge of accounting standards (Ind AS/IFRS) or indirect taxation
- Proven ability to manage multiple stakeholders and cross-functional teams
- Excellent financial modeling, analytical, and presentation skills
- Prior experience in real estate, conglomerates, oil & gas, or manufacturing sectors is an advantage
- Exposure to deal structuring, compliance, and JV management preferred
