Team Size : 2 - 3 members

CTC : 45 - 55 LPA

Role Purpose Drive inorganic growth for a listed chemical major through strategic M&A, JVs, and technology tie-ups. Own investor relations mandate to ensure fair valuation, transparent disclosures, and strong relationships with institutional investors, analysts, and rating agencies.

Key Responsibilities :

A. Mergers & Acquisitions - Chemical Sector Focus :

Deal Strategy & Origination :

1. Identify M&A, technology licensing, and JV targets in specialty chemicals, agrochem, intermediates, CDMO, and downstream value chains

2. Evaluate opportunities for backward/forward integration, new geographies, and ESG-linked assets

3. Map global chemical players, distressed assets, and PE-backed platforms for acquisition

Transaction Execution :

1. Lead end-to-end deal execution : NDA, LOI, valuation, financial/tax/legal/EHS due diligence, SPA/SHA, and closing

2. Build detailed chemical sector valuation models : EBITDA multiples, replacement cost, DCF, synergy models

3. Address sector-specific risks : REACH, EHS compliance, pollution norms, plant approvals, product registrations

4. Coordinate with Big-4, Law Firms, Technical Consultants, and Investment Bankers

- Post-Merger Integration

1. Drive PMI for acquired chemical units : manufacturing, R&D, supply chain, EHS, and regulatory integration

2. Track synergy delivery from raw material, utilities, logistics, and customer overlap

3. Ensure seamless transfer of licenses, EC, CTO, PESO, and product registrations

B. Investor Relations - Listed Company Mandate :

Capital Markets Management :

1. Primary interface for institutional investors, FII/DII, sell-side analysts, and rating agencies

2. Lead quarterly results : earnings release, investor deck, earnings call script, and Q&A prep with CFO/CEO

3. Organize investor/analyst meets, plant visits, global roadshows, and conference participation

Disclosure & Compliance :

1. Ensure timely and accurate disclosures under SEBI LODR, PIT Regulations, and Stock Exchange norms

2. Draft annual report sections : MD&A, Business Responsibility Report, Management Commentary

3. Monitor shareholding pattern, peer benchmarking, and market feedback for Board

Equity Story & Valuation :

1. Articulate growth story around capacity expansion, new chemistries, sustainability, and margin profile

2. Manage consensus building with analysts. Address concerns on raw material volatility, China+1, ESG

3. Support fund raising : QIP, Preferential Issue, FCCB. Prepare IM and manage investor DDC.

Strategic Finance :

1. Advise CFO on capital allocation, ROCE improvement, and portfolio optimization

2. Evaluate greenfield vs brownfield vs acquisition options for new projects

3. Build MIS on group valuation, SOTP, and peer comparison for Board
