General Counsel - InvIT Platform

Job Description:

Key Responsibilities:

- Lead and manage the entire legal and compliance function for the InvIT platform.

- Advise the Board, Investment Committee, and senior leadership on legal, regulatory, and governance matters.

- Oversee transactional legal work including acquisitions, divestments, refinancing, and structuring of infrastructure assets.

- Manage capital markets and regulatory compliance, including matters relating to Securities and Exchange Board of India (SEBI) regulations governing InvITs.

- Draft, negotiate, and review complex commercial agreements, concession agreements, and financing documentation.

- Handle stakeholder management with lenders, regulators, investors, and external counsel.

- Ensure robust risk management, corporate governance, and compliance frameworks across the InvIT and its underlying assets.

- Lead litigation strategy and dispute management where required.

- Build and mentor a high-performing in-house legal team.

Ideal Candidate Profile:

- 15-20+ years of legal experience, ideally with a mix of top-tier law firm and in-house exposure.

- Strong experience in infrastructure, project finance, funds, or capital markets.

- Prior experience with InvITs, REITs, or large infrastructure platforms will be highly preferred.

- Strong familiarity with SEBI regulations and infrastructure investment structures.

- Demonstrated ability to partner with senior leadership and drive strategic decisions.

- Excellent commercial acumen, negotiation skills, and stakeholder management.
