ABOUT FUNDAMENTO:
Fundamento AI (Skillr Talent Private Limited / Kaabil Inc.) builds enterprise-grade AI voice agents for regulated industries, with a concentrated client base across Banking, Financial Services and Insurance (BFSI) in India. The company operates at the intersection of AI infrastructure, telecom, and financial-services compliance- which makes the finance function unusually close to the product, legal and regulatory core of the business, not a back-office reporting layer.
ROLE OVERVIEW:
The Business Finance role will own the finance function end-to-end for Fundamento AI, converting what has historically been a part-time consulting scope into a full-time, senior in-house mandate. Day-to-day, the role is anchored in four areas: (i) disciplined cash management and runway visibility; (ii) ownership of MIS and reporting for internal and investor use; (iii) hands-on investor management, including demat/cap table administration, investor reporting cadence, and the ongoing US-to-India reverse flip; and most critically (iv) CoGS and unit economics, ensuring the company has an accurate, defensible view of cost-to-serve across clients and product lines to inform pricing and margin decisions.
Beyond this core, the role also extends into higher-complexity, less frequent work- investor due diligence, M&A, and commercial contract negotiation with enterprise BFSI clients as it arises. The ideal candidate is equally comfortable owning a cash flow model and CoGS build as they are in a board deck or a share transfer mechanics memo.
KEY RESPONSIBILITIES:
1. Strategic Finance Support:
- Support leadership in defining and executing strategic finance priorities- fundraising readiness, capital allocation, pricing and unit-economics strategy.
- Drive cross-functional alignment (product, sales, legal, ops) to ensure timely execution of finance-linked strategic initiatives.
- Monitor key business and financial metrics and report progress to leadership on a regular cadence, flagging risks early.
2. Financial Reporting and MIS:
- Own MIS, cash flow tracking, monthly close and finance dashboards for internal management and investor reporting.
- Manage internal, external and investor reporting cycles, including board packs and periodic investor updates.
- Track key financial and operating metrics (burn, runway, revenue quality, gross margin, CoGS) and translate them into decision-ready insight.
3. Board and Compliance Support:
- Prepare board materials, manage board process logistics, and track compliance items arising from board decisions.
- Coordinate finance-related statutory, legal and governance matters, working closely with company secretarial and legal counsel.
4. Financial Process Oversight:
- Own finance-related operational processes end-to-end: AP/AR, payroll coordination, vendor onboarding, working-capital management.
- Manage relationships with retained accounting, tax and advisory partners to ensure clean, timely execution and audit readiness.
5. Commercial Finance Tracking:
- Own CoGS modeling and tracking across dialer/telecom and LLM infrastructure costs, pricing assumptions, and unit economics by client and product line.
- Partner with sales and product on pricing strategy for new and existing enterprise BFSI clients, grounded in real cost-to-serve data.
6. Investor Relations & Due Diligence:
- Own the finance side of fundraising processes- data room preparation, financial due diligence, investor Q&A, and coordination with legal counsel and bankers/advisors where relevant.
- Build and maintain investor-facing materials: financial models, cap tables, KPI packs and diligence trackers.
- Manage day-to-day investor communications, including cap table events such as allotments and demat crediting timelines.
7. Mergers, Acquisitions & Strategic Transactions:
- Support evaluation, structuring and execution of inbound/outbound M&A opportunities- financial modeling, valuation input, deal structuring and closing mechanics.
- Lead financial and commercial due diligence workstreams on acquisition targets or investment opportunities, coordinating with legal and external advisors.
- Own post-transaction integration items on the finance and compliance side (share transfers, filings, cap table updates).
8. Securities & Demat Administration:
- Oversee demat account administration and corporate actions - allotments, transfers, conversions (e.g. CCCPS) - coordinating with RTAs, depositories (NSDL/CDSL) and legal counsel.
- Ensure statutory filings tied to securities events (e.g. PAS-3, FC-TRS/FC-GPR under FEMA for cross-border holders) are tracked and executed on time.
- Maintain an accurate, audit-ready cap table and folio records.
9. Corporate Restructuring & Reverse Flip Leadership:
- Own execution of the US-to-India reverse flip: sequencing, legal/tax coordination, IP and asset transfer mechanics, and stakeholder communication.
- Evaluate and advise on entity structuring options (domestic vs. cross-border), balancing tax efficiency, compliance burden and investor/board expectations.
10. Contract Negotiation & Legal-Finance Interface:
- Lead commercial and financial negotiation on client and vendor contracts- MSAs, addenda, pricing schedules, NDAs - working alongside legal counsel.
- Own the finance review of key contract terms (payment terms, liability caps, indemnities with financial exposure, pricing escalators) before execution.
QUALIFICATIONS & EXPERIENCE:
- 5+ years of progressive finance experience, with meaningful exposure to startup/high-growth environments; prior experience in a Head of Finance, Finance Controller, or senior FP&A/corporate finance role preferred.
- Demonstrated experience across at least two of: fundraising/investor relations, M&A or transaction execution, corporate restructuring, or regulated-industry (BFSI/fintech) finance.
- Chartered Accountant (CA), CFA, or MBA in Finance strongly preferred; equivalent demonstrated expertise also considered.
- Working knowledge of Indian corporate law and regulatory frameworks Companies Act, FEMA, SEBI and comfort operating alongside legal counsel on compliance-heavy matters.
- Prior exposure to cap table management, ESOP administration, and securities/demat mechanics is a strong plus.
SKILLS & ATTRIBUTES:
- Strong financial modeling and Excel/Sheets skills; comfort building and maintaining MIS and dashboards from scratch.
- Sharp commercial judgment - able to move fluidly between founder-level strategy and transaction-level detail.
- Excellent written communication; able to produce clean, investor- and board-ready materials independently.
- High ownership and low need for supervision- this is a build-the-function role in a lean team, not a maintain-the-process role.
- Comfortable operating in ambiguity and prioritizing across a genuinely broad mandate.
