Position Title: Fund Manager - Category II Real Estate Alternative Investment Fund

Location: Mumbai

Reports To: Investment Committee / Board of Manager

Role Summary

The Fund Manager is responsible for end-to-end investment management of a SEBI-registered Category II Real Estate AIF - including origination, execution, portfolio monitoring, risk management, compliance, investor reporting and value creation across the fund lifecycle, while ensuring regulatory compliance under SEBI (Alternative Investment Funds) Regulations, 2012.

Key Responsibilities

1. Investment Strategy & Origination

- Lead formulation and implementation of the Real Estate investment strategy aligned with the private placement memorandum (PPM).

- Source, evaluate, conduct due diligence, and recommend investments in real estate assets, SPVs or property-related opportunities that meet the fund's investment mandate.

- Ensure rigorous evaluation of market fundamentals, asset valuations, cash flows, cap rates, risk factors and exit potential.

2. Deal Execution & Structuring

- Structure real estate transactions (equity, preferred equity, mezzanine, debt co-investment vehicles where applicable) with appropriate commercial terms and documentation.

- Work with legal, tax, valuation and external advisors to close transactions efficiently.

3. Portfolio Monitoring & Value Creation

- Regularly monitor performance of portfolio assets, manage asset business plans and oversee operational performance and improvements.

- Drive value enhancement initiatives such as re-positioning, leasing optimization, development staging and refinancing.

4. Compliance & Regulatory Reporting

- Ensure strict compliance with SEBI AIF Regulations, circulars and all applicable laws. The Fund Manager remains responsible for compliance with the AIF Regulations and reporting to SEBI and investors.

- Coordinate with custodian, auditors, legal and compliance teams to ensure timely submissions, disclosures and filings.

- Supervise and support appointment of requisite compliance officer and personnel as mandated by SEBI guidelines.

5. Investor Relations & Fund Administration

- Prepare and deliver comprehensive reporting to investors, including quarterly performance, market outlook, risk updates and valuations.

- Support fundraising activities, PPM updates, investor queries, and transparency in investor communications.

6. Risk Management

- Implement and supervise a robust risk management framework, including analysis of market, credit, liquidity and operational risks.

- Ensure appropriate governance practices, investment limits, diversification norms and internal controls.

7. Team Leadership

- Build and mentor a high-performing investment team, including analysts and associates.

- Foster best practices in due diligence, deal execution, monitoring and reporting.

Regulatory & Fiduciary Obligations

- Ensure compliance with SEBI AIF Regulations including investment conditions that Category II AIFs must follow (e.g., close-ended structure, investment in unlisted entities subject to norms, prudent risk management).

- Operate with fiduciary duty towards investors and maintain integrity in conflict disclosure, valuation, reporting and governance.

Required Qualifications

Educational

- MBA (Finance/Real Estate/Investments), CFA, CA, or equivalent advanced degree with strong finance/real estate focus.

Experience

- 10+ years of experience in real estate investments, private equity, fund management, or related financial services.

- Proven track record in originating, structuring and executing real estate transactions and managing investment portfolios.

Professional Skills

- Strong understanding of Indian real estate markets, valuation methodologies, legal structuring, and fund economics.

- Familiarity with SEBI regulatory framework for AIFs and alternative investments.

- Demonstrated leadership and investor-facing skills.

Certification Requirements

- Must hold the NISM Series-XIX-C: Category I & II AIF Managers certification.

- Strong ethical standards and ability to navigate regulatory complexity.

Reporting & Governance Structure

- Reports to the Investment Committee (or Board) of the AIF Manager.

- Works closely with Compliance, Legal, Valuation, Finance and Operations functions for seamless fund governance and execution.
