Job Description - Principal (M&A Advisory Financial Due Diligence)

Location: Mumbai (BKC)

Experience: 10+ Years

Role Overview:

We are looking to hire a Principal to lead Financial Due Diligence (FDD) engagements within the M&A Advisory practice. The role involves managing end-to-end due diligence assignments, leading client interactions, and mentoring teams, while delivering high-quality insights to investors and stakeholders.

This is a leadership role requiring strong commercial acumen, technical expertise in due diligence, and the ability to manage multiple stakeholders in a fast-paced transaction environment.

Candidate Profile:

- Chartered Accountant (CA) qualification (mandatory)

- 10+ years of overall experience with minimum 5+ years in Financial Due Diligence (FDD)

- Strong experience in managing and leading teams (1015 members)

- Proven ability to handle multiple transactions simultaneously

- Sector-agnostic experience across industries

- Strong interpersonal, leadership, and stakeholder management skills

- High ownership mindset with strong decision-making capability

Key Responsibilities:

1. Financial Due Diligence Execution

- Lead and manage financial due diligence assignments in buy-side and sell-side transactions

- Analyze financial statements, identify key risks, and highlight deal-impacting issues

- Provide actionable insights and recommendations to clients and investors

2. Transaction & Structuring Understanding

- Demonstrate strong understanding of investment structures and transaction frameworks

- Review and interpret legal agreements such as:

SPA (Share Purchase Agreement)

SHA (Shareholders Agreement)

SSA (Share Subscription Agreement)

3. Business & Commercial Acumen

- Develop a strong understanding of the business model, industry dynamics, and economic environment

- Identify key business drivers, revenue streams, and cost structures

- Take a sector-agnostic approach across diverse industries

4. Client Management & Delivery

- Act as a key point of contact for clients, investors, and target companies

- Ensure timely delivery of high-quality reports, presentations, and insights

- Maintain regular communication with stakeholders at all levels

5. Team Leadership & Collaboration

- Lead, mentor, and manage a team of professionals across multiple engagements

- Allocate responsibilities, review outputs, and ensure quality control

- Foster a collaborative and high-performance team environment

6. Knowledge Sharing & Capability Building

- Coach and guide team members on technical and transaction-related aspects

- Contribute to the development of internal knowledge and best practices

- Support team capability building through structured mentoring

7. Investor Support & Problem Solving

- Support investors in evaluating opportunities and addressing key diligence queries

- Manage complex situations with a structured, solution-oriented approach

- Identify risks proactively and drive resolution in ambiguous scenarios

8. Relationship Management

- Manage relationships with investee companies to ensure timely data flow

- Handle critical client issues and support resolution effectively

- Build long-term relationships with stakeholders across transactions

Key Skills & Competencies:

- Strong financial analysis and due diligence expertise

- Understanding of transaction lifecycle and deal dynamics

- Excellent communication and presentation skills

- High attention to detail with strong analytical ability

- Ability to work under tight timelines and manage multiple priorities
