We are seeking an experienced Finance and Compliance leader to oversee the Finance, Company Secretarial, and Regulatory Compliance functions for our India operations. This strategic role will be responsible for ensuring financial accuracy, statutory compliance, corporate governance, and effective coordination with global stakeholders.
Key Responsibilities:
Finance & Accounting
- Lead monthly, quarterly, and annual financial reporting along with management reporting for global stakeholders.
- Oversee Accounts Payable, Accounts Receivable, General Ledger, and bank reconciliation processes.
- Manage payroll operations in collaboration with HR, ensuring accuracy and statutory compliance.
- Drive annual budgeting, forecasting, financial planning, and variance analysis.
- Handle intercompany transactions, recharge mechanisms, and transfer pricing documentation.
- Coordinate statutory audits, internal audits, and tax assessments.
- Ensure timely compliance with GST, TDS, advance tax, and income tax requirements.
- Manage treasury operations, banking relationships, and cash flow planning.
- Establish and maintain effective financial controls and governance frameworks.
Company Secretarial Responsibilities:- Maintain statutory records, registers, and corporate filings in accordance with the Companies Act, 2013.
- Ensure timely filing of annual returns, statutory forms, and regulatory submissions through MCA/ROC.
- Prepare Board and Committee meeting notices, agendas, minutes, and resolutions.
- Manage Director KYC, DIN-related filings, and amendments to corporate documents.
- Ensure compliance with applicable corporate governance and regulatory requirements.
- Coordinate with legal advisors on secretarial and governance matters.
Regulatory & Legal Compliance:- Manage FEMA and RBI-related reporting, including ODI filings, APR, FLA returns, and ECB compliance where applicable.
- Ensure adherence to labour law requirements, including PF, ESI, Gratuity, Professional Tax, and Shops & Establishment regulations.
- Oversee transfer pricing compliance and coordinate with external tax advisors.
- Manage SEZ-related compliance requirements, where applicable.
- Review and administer vendor agreements, service contracts, NDAs, and related legal documentation.
- Monitor regulatory developments and advise leadership on compliance implications.
Leadership & Stakeholder Management:- Lead, mentor, and develop the finance and administrative team.
- Act as the primary point of contact for auditors, tax consultants, legal advisors, bankers, and regulatory authorities.
- Collaborate closely with global finance and legal teams to ensure alignment with organizational policies and standards.
- Provide financial insights and strategic support to leadership for informed decision-making.
Professional Experience:- 8-15 years of experience in Finance, Compliance, and Company Secretarial functions.
- Prior experience in a GCC, GCH, shared services, or multinational environment is highly preferred.
- Strong hands-on exposure to FEMA, RBI filings, transfer pricing, and corporate compliance.
- In-depth understanding of GST, TDS, Income Tax, and Companies Act provisions.
- Experience handling statutory audits, internal audits, and regulatory inspections.
- Familiarity with intercompany accounting, cost-plus models, and global reporting structures.
