Job Purpose: The Incumbent will oversee and monitor all regulatory compliances of DMI Finance Pvt Ltd and other group companies ensuring adherence to compliance with all applicable laws. Working with the team lead on various projects such as takeovers, IPO, RBI, corporate secretarial related compliances. Principal Accountabilities: 1. Reviewing Regulatory Matters - Review of Returns/Policies/Documents/Agreements, Regulatory Inspections - Review and file all regulatory returns as prescribed by RBI - Review & execute Reconciliation of Loan Books for the purpose of filing returns - Lead Inspections conducted by RBI (eg: explaining them about DMI business, handling queries, providing relevant documents, coordinating with different functions for smooth inspection) 2. Strategic Advice - Compliance Framework for Structures/Transactions/Products/Decisions/Operational Matters - Analyze various transactions (capital infusions, borrowing etc.) w.r.t. applicable laws and assist the Head-CS & Compliance in structuring transactions. - Review and finalize all transaction documents for circulation and filing 3. Establishing and Implementing Policies and Procedures - Responsible for various Policies as per the Prudential norms - Working with teams in implementing the policies as may be required 4. Stakeholder Management- Working with Regulators/Internal teams/Board/Investors - Coordinating with Senior management and Board - Coordinate & lead all communication & documentation with Regulatory Authorities - Coordinate & lead the process of providing relevant information Board meeting, resolution approvals & document sign off - Lead all requirements related Auditors both Internal and Statutory - Review & coordinate with Internal Teams for procuring correct data/ facts/ information - SPOC for other consultants (PWC, EY) and external vendors (lawyer, CS, CA firms) for obtaining certifications & information on trends in compliance laws/ transactions 5. Developing Compliance Controls - Establish Processes, Defining Risk Management Limits and Framework, No levy of Penalties - Establish new process in line with the new laws - Identify various risks and their mitigants - Adhere to closing Compliance before the timelines to avoid any penalties 6. Team Management - Developing team goals, defining roles and responsibilities - Plan and organize work amongst team members - Keep a track of work/assignments done by individual team members - Identify the areas of improvement for individuals in the team and plan for trainings if required - Keep the team motivated and engaged for the good work done 7. Undertaking Special Projects - Execute ad-hoc, assignments/ special projects (one time) as and when assigned Qualifications: - Minimum Qualification required: Company Secretary - Qualifications preferred: B. Com, Company Secretary - Law Graduate (not mandatory) Work Experience & Skills: - Minimum 8-10 years of experience - 6+ years in NBFC - Fluent with MS-Excel, deep underrating of law, - Communication/ influencing - Collaborative approach - Well-informed about the Prudential with norms wrt NBFC - Multitasking, problem solving approach
