AVP - Operations - Alternate Investment Fund
Role Summary :
The Senior Manager/AVP - Operations will be responsible for overseeing AIF operations with primary ownership of documentation governance, regulatory filings, transaction documentation control for a SEBI-registered Category II AIF. The role requires strong regulatory understanding, precision in documentation management, and coordination across legal, compliance, investment, and fund administration teams.
Key Responsibilities : 1. Transaction & Deal Documentation (Core Responsibility) : - Coordinate documentation for investment transactions including :
- Manage investor onboarding, KYC documentation, and AML processes.
- Coordinate with external legal counsel for transaction documentation and closing.
- Ensure documentation reflects agreed commercial terms (coupon, IRR, redemption premium, covenants, security cover, cash flow waterfall).
- Oversee CP (Conditions Precedent) and CS (Conditions Subsequent) tracking and closure.
- SHA / SSA / Debenture Subscription Agreements
- Coordinate with Trustees including appointment, fees negotiations and scope of responsibilities.
- Escrow agreements
- Pledge agreements
- Ensure proper execution, stamping, and safe custody.
- Maintain master documentation repository (physical & digital).
- Ensure proper version control and document audit trails.
- Maintain transaction closing checklists and records.
- Ensure adherence to internal SOPs and governance framework.
2. Stakeholder Management : - Coordinate cross-functionally with investment, finance, compliance, and legal teams.
- Liaise with debenture trustees and security trustees.
3. Technology & Record Management : - Implement document management system (DMS).
- Ensure secure digital storage and restricted access controls.
- Drive automation in reporting and compliance tracking.
- Implement documentation control framework as per SOP.
- Ensure proper archival policy as per regulatory norms.
4. Qualifications & Experience : - Postgraduate/CS / LLB / MBA preferred.
- 7-10+ years of experience in Category II AIF (Private Equity / Debt Fund / Real Estate Fund).
