Role Overview:
The Director Total Rewards will lead the design, governance, and execution of the organizations total rewards strategy, with a strong focus on executive compensation and equity-based long-term incentive programs. The role will partner closely with senior leadership, Board / Compensation Committee, HRBPs, Finance, and Legal to ensure rewards programs are competitive, compliant, and aligned with business performance and long-term value creation.
Key Responsibilities
Total Rewards Strategy
- Design and implement a comprehensive total rewards framework covering fixed pay, variable pay, benefits, and long-term incentives.
- Ensure alignment between rewards strategy and business goals in a fast-paced IT services environment.
- Drive consistency, equity, and competitiveness across leadership and critical roles.
Executive Compensation & Equity Programs
- Lead design and governance of executive compensation programs, including short-term and long-term incentives.
- Manage equity-based compensation plans such as RSUs, PSUs, ESOPs, SARs, and other share-linked programs.
- Define performance metrics, vesting schedules, eligibility criteria, and payout mechanisms aligned with pay-for-performance principles.
Governance, Compliance & Board Interface
- Support Board and Compensation Committee processes including preparation of decks, analytics, and recommendations.
- Ensure compliance with statutory, regulatory, accounting, taxation, and disclosure requirements related to rewards and equity plans.
- Develop and maintain rewards policies, approval matrices, and governance frameworks.
Program Management & Administration
- Oversee end-to-end execution of annual compensation cycles, incentive payouts, and equity grant processes.
- Partner with Finance, Legal, Secretarial, and external administrators on valuation, budgeting, dilution analysis, and plan administration.
- Support executive hiring, retention, and succession scenarios through effective reward structuring.
Market Benchmarking & Analytics
- Lead market benchmarking and peer comparisons for total rewards and executive compensation.
- Conduct cost impact, pay equity, and ROI analyses to support leadership decision-making.
- Use data and dashboards to provide insights to senior leadership.
Stakeholder Management & Advisory
- Act as a trusted advisor to CXOs and senior leaders on rewards and executive compensation matters.
- Partner with HRBPs on leadership rewards, retention strategies, and critical talent programs.
- Manage complex compensation exceptions and confidential matters with high discretion.
Communication & Change
- Drive clear communication of total rewards philosophy and executive compensation programs.
- Lead change management for rewards redesigns, new equity plans, or regulatory updates.

Candidate Profile
Experience & Background
- 7 - 12 years of experience in Total Rewards / Compensation & Benefits, with strong specialization in Executive Compensation and Equity / LTI programs.
- Hands-on experience with RSUs, ESOPs, PSUs, or similar equity plans, preferably within IT Services or Technology organizations.
- Exposure to board-level governance and senior leadership compensation is highly desirable.
