Key Responsibilities:

- Serve as Company Secretary to the Board and Board Committees.

- Advise the Board, Chairperson, and Executive Leadership on corporate governance and regulatory developments.

- Plan, coordinate, and manage Board, Committee, and Shareholder meetings globally.

- Prepare agendas, Board papers, minutes, resolutions, governance reports, and action trackers.

- Ensure implementation of global governance best practices.

- Maintain statutory registers, corporate records, and governance documentation.

- Lead IPO planning, readiness assessment, and execution.

- Ensure compliance with the Companies Act, FEMA, RBI regulations, MCA requirements, applicable secretarial standards and relevant overseas corporate law requirements across the group.

- Maintain statutory registers, records, corporate documents, compliance calendars and process controls for Indian and overseas subsidiaries / branches.

- Manage timely statutory and regulatory filings, including annual returns, annual performance reports, FEMA filings, share transfer filings and other jurisdiction-specific submissions.

- Coordinate with investment bankers, merchant bankers, legal counsel, auditors, registrars, stock exchanges, regulators, and other advisors.

- Manage due diligence, prospectus drafting, corporate restructuring, and governance documentation.

- Ensure compliance with applicable corporate laws across all operating jurisdictions.

- Manage statutory filings with regulatory authorities and stock exchanges.

- Monitor evolving regulations affecting listed and unlisted entities.

- Develop enterprise-wide compliance frameworks and governance policies.

- Oversee secretarial audits and regulatory inspections.

- Manage incorporation, restructuring, merger, liquidation, and governance of global subsidiaries.

- Coordinate with international legal advisors across multiple countries.

- Ensure governance consistency across all group entities.

- Maintain global legal entity databases and compliance calendars.

- Strengthen governance, ethics, and compliance culture across the organization.

- Monitor governance risks and recommend mitigation strategies.

Education & Experience:

- Qualified Company Secretary (CS) Mandatory

- LLB preferred

- 18-26 years of progressive experience in Corporate Secretarial and Governance functions.

- Proven experience in ITES, Technology Services, BPO, Digital Services, Consulting, or GCCs and Services.
