Areas of Experience: 1. Hands-on experience in the areas of Secretarial Compliances and fcomplianrate Governance of Indian (Listed/ Unlisted companies). Experience of Secretarial work of foreign entities would be an added advantage. 2. Ability to consistently learn, contribute and upgrade in the professional domain is essential. 3. Working knowledge of mergers, demergers, amalgamation of group companies. 4. Conversion of public company to private company and private company to public company. 5. Liasioning with Registrar of Companies, Registrar and Share Transfer Agent, NSDL/ CDSL. 6. Preparation of Agenda for Board and Committee meetings and minutes. 7. Preparation of Notice and Annual Report for AGM/ EGM. 8. In-depth knowledge of compliances pertaining to Related Party Transactions, security charge creation/ modification/ satisfaction and issue of securities including Equity Shares/ Preference Shares/ Bonus Shares and Debentures. Preferred Candidate should have: Qualification: B. Com., ACS. Additional Qualification of LL.B. is preferred. Experience: Post qualification experience of 5-7 years. Out of which, experience of 1-2 years in a listed company preferred.
