Role Overview:

We are seeking a seasoned governance professional to join our leadership team as the Deputy Head - Company Secretary. In this pivotal role, you will serve as the primary custodian of corporate governance, ensuring the organization adheres to the highest standards of regulatory compliance and ethical conduct. You will work closely with the Board of Directors, C-suite executives, and cross-functional leadership teams to facilitate seamless decision-making processes. By providing strategic counsel on complex legal and secretarial matters, you will directly influence the company's risk mitigation strategies and uphold our reputation with shareholders and regulatory bodies. This position is based in Bangalore and Chennai and requires a leader who can balance meticulous attention to detail with a high-level strategic perspective to drive organizational excellence.

Key Responsibilities:

- Orchestrate the end-to-end lifecycle of board and committee meetings, including agenda preparation, minute recording, and follow-up on action items to ensure effective governance.

- Oversee comprehensive compliance with the Companies Act, SEBI regulations, and other applicable corporate laws to safeguard the organization against legal and financial risks.

- Manage complex corporate restructuring, mergers, and acquisitions from a secretarial perspective to ensure seamless integration and regulatory alignment.

- Act as the primary liaison between the company and regulatory authorities, including the Registrar of Companies and stock exchanges, to maintain transparent and timely reporting.

- Mentor and lead the secretarial team to foster a culture of accuracy, efficiency, and professional development within the department.

- Advise the Board of Directors on evolving governance trends and best practices to ensure the company remains at the forefront of corporate accountability.

Required Skillset:

- Demonstrate deep expertise in corporate law, secretarial standards, and regulatory frameworks, backed by a qualified Company Secretary (CS) certification.

- Exhibit exceptional interpersonal and communication skills, with the ability to influence senior stakeholders and navigate complex boardroom dynamics with tact and confidence.

- Possess a proven track record of managing high-stakes board management processes, including the ability to draft precise, legally sound documentation under tight deadlines.

- Showcase strong analytical capabilities to interpret legislative changes and translate them into actionable business strategies.

- Maintain a high degree of professional integrity and discretion, essential for handling sensitive corporate information and executive-level communications.

- Adapt seamlessly to a hybrid work environment, leveraging digital governance tools and collaborative technologies to maintain operational continuity across Bangalore and Chennai locations.

- Possess 10 - 15 years of progressive experience in corporate secretarial functions, ideally within large, listed organizations or fast-paced corporate environments.
