About the Company:

The hiring organisation is a high-growth rural commerce company in India operating across distribution, technology, consumer propositions and strategic partnerships. As it expands into new categories and joint ventures, it is making increasingly important decisions on capital allocation, ownership, operating models, technology and governance.

Role purpose:

This role will own the analytical and process backbone of transactions, partnerships, capital-allocation decisions and new-business evaluations. The person will build financial and operating models, compare structures, coordinate diligence, support negotiations and prepare decision-ready recommendations. More importantly, the role remains accountable after closing: converting the approved case into a measurable value-creation plan, running performance reviews and driving corrective action with internal teams and partners.

Core principle:

Closing is only the beginning. This role will be measured more heavily on whether a partnership delivers its approved revenue, margin, cash, operating and strategic outcomes than on the number of transactions completed.

Key responsibilities:

- Build financial and operating models for JVs, partnerships, acquisitions, new businesses and market-entry opportunities.

- Analyse revenue quality, margins, working capital, cash burn, capital needs, dilution, valuation, returns and downside scenarios.

- Prepare structure-comparison matrices covering instruments, cash flows, ownership, governance, milestones, risk, post-deal accountability and exit economics.

- Own transaction workplans, diligence, data rooms, issue lists, advisor coordination, conditions precedent and closing checklists.

- Review transaction and commercial agreements; ensure reporting rights, data access, performance metrics, partner obligations and remedies are measurable and contractually reflected.

- Prepare Founder and board notes, investment memoranda, investor Q&A, sensitivities and management presentations.

- Design milestone-linked funding and governance so additional capital follows verified delivery rather than becoming automatic after closing.

- Support negotiations with partners, investors, bankers, lawyers, tax advisors and other specialists.

- Build standard templates for decision notes, models, cap tables, term-sheet comparisons, post-deal scorecards and value-creation plans.

Post-deal governance, metrics & value creation:

- Before closing, create a post-deal performance matrix recording each metric's baseline, target, owner, source of truth, cadence, warning threshold and corrective action.

- Convert the approved case into a 30/60/90/180-day implementation plan and annual value-creation plan across commercial, financial, operational, technology, people and governance milestones.

- Own monthly dashboards and quarterly board or partner reviews, comparing actuals with the approved case, latest plan, prior period and partner commitments.

- Diagnose variance - assumptions, internal execution, partner failure, governance delay, funding gap or operating-model weakness - and drive actions with named owners and dates.

- Track partner commitments including capital, capacity, product development, hiring, distribution, technology and data, marketing, IP, exclusivity and service obligations.

- Escalate underperformance early and recommend whether to scale, continue, pause funding, reset milestones, change leadership, renegotiate, restructure or exit.

- Document lessons from actual performance and incorporate them into future business cases, term sheets, contracts and partner selection.

Candidate profile:

- Approximately 5-9 years of relevant experience in VC or growth equity, McKinsey, Bain, BCG or another top-tier consulting firm, investment banking, Big Four Deals, corporate development, strategic finance, portfolio operations or value creation.

- Advanced financial modelling capability and a strong understanding of accounting, cash flow, working capital, valuation, cap tables and shareholder economics.

- Comfort reading transaction and commercial agreements and identifying their financial, governance and operating implications.

- Ability to work with incomplete information, make assumptions explicit and testable, and recommend a course of action rather than only presenting analysis.

- Strong project management, operating-review discipline and written communication, with the maturity to challenge senior stakeholders, partners and advisors using facts rather than hierarchy.

- A CA, MBA or CFA is helpful but not mandatory when experience demonstrates equivalent capability and judgment.

- Investment candidates should have transaction execution plus board, portfolio or value-creation exposure. Consulting candidates should have commercial diligence plus implementation, transformation, PMO, operating-model or post-merger work.

- Experience building dashboards, post-investment scorecards or value-creation plans and reconciling financial data with operating reality.

- A closure mindset beyond signing: comfort staying through implementation, underperformance, corrective action and, where necessary, restructuring or exit.
