Department: Corporate Law / Securities Law

Location: Delhi

Experience: 1-3 years

Reporting to: Founder and Principal Counsel

Role Overview:

The role offers significant learning and growth opportunities through hands- on exposure to regulatory work, commercial contracts, and capital markets advisory.

Key Responsibilities:

- Assist in advising clients on regulatory matters under SEBI regulations, including ICDR, LODR, Takeover Code, Insider Trading, and Mutual Fund Regulations.

- Support in drafting and reviewing corporate contracts such as shareholders' agreements, NDAs, service agreements, and vendor contracts.

- Provide research support and documentation for setting up mutual funds, AIFs, and assisting investment managers with compliance.

- Conduct preliminary legal due diligence in M&A and fund structuring matters under guidance.

- Coordinate with regulatory authorities such as SEBI and RBI for filings, clarifications, and responses.

- Stay updated with changes in laws affecting capital markets, securities, and company regulations.

- Draft internal legal notes, compliance checklists, and opinion briefs under supervision.

- Assist the senior team in maintaining client communication and tracking deliverables.

Key Skills & Competencies:

- Basic understanding of SEBI laws, Companies Act, and mutual fund regulations.

- Strong research, writing, and documentation skills.

- Willingness to learn and adapt in a fast-paced regulatory environment.

- Strong attention to detail and a proactive approach to work.

- Effective communication skills for internal coordination and external client handling.

- Ability to multitask and work under supervision with tight timelines.

- 1-3 years of relevant experience in a law firm or in-house corporate legal team.

Preferred Experience (Not Mandatory):

- Exposure to SEBI filings, IPO documentation, or rights issues.

- Experience working with mutual funds, AMCs, or trustees.

- Involvement in corporate advisory, due diligence, or compliance documentation
