ROLE SUMMARY:

The Company Secretary is a senior leadership role responsible for driving corporate governance excellence, ensuring regulatory compliance, and enabling strategic decision-making at the Board level. This position acts as a trusted advisor to the Board and executive leadership, aligning governance frameworks with business objectives and supporting long-term organizational growth.

PRIMARY ROLE:

- Advise senior management on governance trends, regulatory changes, and best practices.

- Shape governance frameworks to align with strategic priorities and enterprise risk management.

- Partner with leadership to design and execute leadership and committee agendas aligned with business strategy. Ensure timely, accurate, and transparent information flow for informed decision-making.

- Lead compliance in India jurisdictions, ensuring adherence to corporate laws, securities regulations, and listing requirements. Anticipate regulatory developments and proactively mitigate risks.

- Drive transparent communication and foster trust among internal and external stakeholders.

- Champion ethical standards and sustainability initiatives, embedding them into organizational culture.

- Provide counsel on mergers, acquisitions, or restructuring to support growth and transformation.

- Mentor governance teams and strengthen organizational capability in compliance and governance.

WHAT YOU BRING TO THE ROLE:

- Company Secretary (CS) qualification; additional certifications in governance or legal compliance preferred.

- 15+ years in corporate governance, legal compliance & advisory roles, with proven ability to influence at the C-suite level.

- Strong understanding of international governance standards, regulatory frameworks and jurisdictional compliance.

- Exceptional stakeholder management, strategic advisory capability, and execution discipline.

- Outstanding written and verbal communication skills.

- High integrity, discretion, and ability to handle sensitive information with confidentiality.

- Proficiency in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint).

- Ability to operate independently and collaboratively in a fast-paced, dynamic environment.
