Our client, a global strategy consulting firm is supporting a strategic restructuring engagement with a Public Sector Undertaking (PSU) in India operating within the Aerospace & Defence (A&D) sector. The initiative is focused on organisational restructuring, including potential demerger, subsidiary creation, or carve-out scenarios from a financial and compliance standpoint.

The consultant will play a critical advisory role, providing financial and taxation expertise to shape key structural decisions. Working closely with the core consulting team, you will help ensure the proposed restructuring framework is robust from a financial reporting, tax, and transfer pricing perspective, directly influencing the long-term operating model of a strategically important public sector entity.

Key Responsibilities:

- Provide subject matter expertise on demerger, subsidiary creation, and carve-out transactions from a financial standpoint.

- Review and validate restructuring deliverables prepared by the consulting team, ensuring financial, tax, and regulatory robustness.

- Advise on taxation implications, including direct and indirect tax considerations linked to restructuring.

- Provide guidance on inter-company transfer pricing structures and compliance requirements.

- Support financial structuring decisions to optimise regulatory alignment and operational feasibility.

- Engage with senior stakeholders and provide expert inputs during key review discussions, including limited on-site meetings when required.

Your Background:

- 5+ years of experience in financial restructuring, demergers, carve-outs, or subsidiary formation advisory (flexible for strong profiles).

- Strong knowledge of taxation frameworks and inter-company transfer pricing.

- Chartered Accountant (CA) or equivalent finance qualification preferred.

- Experience advising on restructuring projects within consulting, Big 4, or corporate finance environments.

- Strong analytical capability with the ability to provide practical, implementation-oriented recommendations.

- Sector experience in A&D or public sector is not mandatory; topical expertise is essential.

Other Details:

- Engagement Model: Hourly fee-based; part-time (except for limited travel days).

- Duration: Flexible; can be tailored based on consultant availability and profile strength, with potential for conversion to permanent role based on performance and project requirements.

- Location: No fixed location constraint; 1-2 days of travel to the client site may be required (travel and accommodation expenses covered).
