Consultant/Assistant Manager/Manager - Company Secretary

We are hiring for one of the big6 management consulting firm.

1. Setting up business presence in India including assisting MNCs in end-to-end incorporation of companies,

2. Limited Liability Partnership and foreign companies.

3. Assist and advised companies in compliances under the Companies Act (such as related party transactions, loan and investments dividend etc.) and Indian Exchange Control Regulations.

4. Experience in advising clients in preparing and overviewing the Companies policies, SOPs under the Companies Act and other various applicable Indian statutes.

5. Experience working with clients in different sectors such as service companies, insurance, major financial institutions, etc.

6. Experience in managing Boards meetings, Annual general and Committees meeting under the Companies Act.

7. Advised on various aspects like mergers, share acquisitions, fund infusions by foreign entities in India, issuance of shares, etc.

8. Advised multiple clients on Board process and Directors' responsibility.

9. Experience in advising and assisting a number of companies on consolidating and integration of their Indian operations through

10. mergers, takeovers and acquisitions or winding up of the operations.

11. Assisted and advised clients on exist routes including strike-off, liquidation of companies/LLPs under IBC Code.

12. Assisting the Company in the initial phases of Initial Public Offering.

13. Dealing with Government Authorities for obtaining various Clearances & permissions.

14. Engaged in fund raising and borrowings activities for the company in relation to various projects.

15. Assisting matters related to fund infusion by foreign entities into India.

16. Representations for various clients before the Regional Director and Registrar of Companies.

17. Independently conducting due diligence of prospective companies for seeking merger /investment/fund raising.
