Key Responsibilities:
Compliance & Governance:
- Ensure compliance with statutory and regulatory requirements as per the Companies Act, SEBI (LODR), and other relevant laws applicable to listed companies.
- Implement and oversee corporate governance policies, ensuring compliance with the company's Articles of Association and stock exchange regulations.
- Maintain and update the statutory registers and other necessary records under corporate law.
Board & Committee Management:
- Organize, schedule, and attend Board of Directors, Audit Committee, and other key committee meetings.
- Prepare, circulate, and maintain accurate minutes of meetings.
- Assist the board in adhering to corporate laws and ethical governance standards.
Legal Advisory & Documentation:
- Provide legal advice on company law, mergers, acquisitions, and corporate restructuring, with a focus on listed company regulations.
- Draft and review legal documents, agreements, contracts, and MOUs in accordance with legal standards.
- Liaise with regulators such as SEBI, stock exchanges, auditors, and legal advisors.
Stock Exchange & Listing Obligations:
- Ensure timely and accurate filings to SEBI, stock exchanges, and other statutory bodies (ROC, MCA, etc.
- Manage Listing Obligations and Disclosure Requirements (LODR), ensuring all disclosures and filings meet the requirements of the stock exchange.
- Handle shareholder communications, including annual reports, AGM notices, and corporate announcements.
Corporate Social Responsibility (CSR):
- Assist the CSR Committee in planning and implementing CSR initiatives.
- Ensure compliance with all legal obligations regarding CSR and provide necessary reports.
Risk Management & Strategy:
- Collaborate with senior management to identify, assess, and mitigate corporate risks, especially in relation to regulatory compliance for listed companies.
- Contribute to strategic planning for long-term corporate growth and adherence to listed company regulations.
Investor Relations:
- Act as the main point of contact between the company and its shareholders/investors, addressing queries related to shares, dividends, and corporate actions.
- Maintain up-to-date communication with stock exchanges and regulatory bodies regarding company information.
Required Skills & Qualifications:
Qualification: CS qualified from the Institute of Company Secretaries of India (ICSI).
Experience: Minimum 1+ years of post-qualification experience, with expertise in secretarial functions, especially in listed companies.
- Knowledge of Listed Company Regulations: Strong understanding of SEBI regulations, stock exchange rules, LODR, and other relevant laws governing listed companies.
- Communication Skills: Excellent written and verbal communication skills to work effectively with the board, investors, and regulatory bodies.
- Attention to Detail: High level of accuracy in ensuring compliance with laws and corporate governance - standards.
- Problem-Solving Abilities: Ability to proactively address challenges in regulatory compliance and corporate governance.
- Organizational Skills: Effective in managing multiple tasks, deadlines, and regulatory filings.
- Integrity & Confidentiality: Strong sense of ethics and responsibility in handling confidential company information.
Preferred Qualifications:
- Experience with Listed Companies: Proven track record in handling the secretarial function of a listed company.
- Familiarity with Stock Exchange Compliance: Hands-on experience in stock exchange filings and managing shareholder relations.
