Secretarial & Corporate Governance:
- Manage end-to-end Board, Committee, and Shareholder Meeting processes.
- Prepare agendas, notices, board papers, minutes, and action trackers.
- Ensure compliance with the Companies Act, 2013 and Secretarial Standards (SS-1 & SS-2).
- Maintain statutory registers, corporate records, and governance documentation.
- Advise management and Board on corporate governance matters and regulatory changes.
Debt Listing & SEBI Compliance (Mandatory):
- Handle end-to-end compliance for listed Non-Convertible Debentures (NCDs) and other debt securities.
- Ensure compliance with SEBI (LODR) Regulations applicable to listed debt securities.
- Coordinate with Stock Exchanges, Debenture Trustees, Depositories, Credit Rating Agencies, RTAs, and Merchant Bankers.
- Manage debt issuance documentation, listing applications, ISIN creation, corporate actions, and post-listing compliances.
- File periodic disclosures, intimations, and compliance reports with Stock Exchanges.
Regulatory Compliance:
- Ensure timely filing of statutory forms with MCA.
- Ensure compliance with RBI guidelines applicable to NBFCs.
- Coordinate Secretarial Audit, Internal Audit, Statutory Audit, and Regulatory Inspections.
- Monitor changes in corporate laws and regulatory requirements and implement necessary actions.
Corporate Actions:
- Manage Board approvals for borrowings, debt issuances, banking facilities, and corporate restructuring.
- Handle changes relating to Directors, KMP appointments, share capital, and statutory filings.
- Coordinate execution and maintenance of legal and corporate documentation.
Stakeholder Management:
- Liaise with Regulators, ROC, RBI, Stock Exchanges, NSDL/CDSL, Debenture Trustees, External Counsel, Auditors, and Senior Management.
- Provide secretarial support to Board Members and Senior Leadership.
