The new hire will be part our company Governance, Business Integrity and Closures team (GBIC). GBIC responsible primarily for end-to-end round closures (new and existing portfolio companies) and exits across all funds. This includes negotiations pertinent to round construction and closure, encompassing investment structuring, review of shareholder agreements, cap table construction and associated diligence. The new hire will be aligned to the above-mentioned functions. Roles and Responsibilities: - Identify applicability of laws per sector and risk assessment based on business model. - Preparation and review of capitalisation tables per round in relation to the portfolio companies. - Prepare risk matrix and liaise within the team and founders on mitigative steps. - Assessment of existing company structures or proposed company structures from regulatory compliance perspective. - Review of secretarial documents and liaise on filings to be undertaken (where relevant) in relation to capital transactions such as allotment, loans, venture debt, exits. - Tracking conditions precedent and conditions subsequent to each capital transaction. - Management of investment committee resolutions. - Support in contract management and working on ways to simplify processes. - Helping team members in research and participation in knowledge sharing. - Coach new members of the team on various nuances of applicable laws and due diligence. - Preparation of reports. Role Demands: - The candidate needs to be confident, dynamic and have a pro-active disposition. - Should possess effective drafting and communication skills, including excellent written and spoken English. - Needs to have the ability to effectively work and liaise with both internal teams and portfolio companies. - Should have excellent analytical and interpersonal skills with professionalism to motivate and supervise others. - Should possess strong ethics and high integrity. Experience And Skill Set Required: - Company Secretary is a must have. - Chartered Accountant or L.L.B (Hons.) is a plus.
