Job summary:
The Company Secretary is responsible for ensuring that the company complies with legal and regulatory requirements, manages governance processes, and supports the Board of Directors. The role acts as a bridge between the management and the Board and ensures efficient administration on of the company.

- Ability to manage multiple stakeholders and deadlines.
- Integrity, discretion on, and professionalism.
Roles and responsibilities :
- Ensure compliance with Companies Act, corporate laws, and other relevant regulations.
- Monitor and interpret changes in RBI circulars, NBFC Master Directions, Companies Act, and advise management accordingly.
- Manage RBI filings, including monthly returns, quarterly NBS returns, FPC filings, and statutory compliance updates.
- Maintain statutory books including registers of members, directors, and secretaries.
- Assist in the drafting and review of company policies, shareholder agreements, and resolutions.
- Manage internal and external audits related to secretarial and compliance functions.
- Support in corporate restructuring, capital infusion, share transfers, or change in management/shareholding.
- Ensure timely submission of Annual reports and other statutory returns.
Educational Qualifications: Bachelor's or Master's degree in Finance, Economics, or Business. Additional certifications such as MBA, CFA, or FRM are preferred.
Technical Skills:
- Practical experience with Loan Origination System (LOS) and Loan Management System (LMS), Familiarity with credit risk models and data analytics tools.
Regulatory & Compliance Knowledge:
- Strong understanding of RBI guidelines, NBFC norms, and lending-related regulations, Proven experience in compliance functions within a regulated financial environment.
Work Experience:
- Minimum 2 years of experience in an NBFC or Bank, with a focus on compliance and credit operations.
Soft Skills: Excellent verbal and written communication skills, High level of attention to detail and ability to manage tasks under pressure.
Good to Have: Exposure to debt listing procedures and related compliance documentation is an added advantage.
