About the Role:
A leading consulting firm is hiring experienced Company Secretaries to lead and execute complex M&A transaction implementation and corporate restructuring mandates. The ideal candidate will have substantial, hands-on exposure to this kind of work this is not an entry-level or theoretical role.
Responsibilities:
- Lead end-to-end execution of mergers, demergers, capital reductions, and buybacks.
- Manage slump sale transactions and associated structuring work.
- Handle conversions between entity types company to LLP, LLP to company, partnership firm to company, and similar transitions.
- Oversee conversion of private companies to public companies and public companies to private companies.
- Manage other corporate restructuring transactions under the Companies Act, 2013.
Requirements:
- Qualified Company Secretary.
- Proven, hands-on experience executing similar restructuring assignments.
- Strong working knowledge of the Companies Act, 2013 and related regulations.
- Ability to independently drive multi-step, high-complexity transactions from start to finish.
