
Company Secretary
Job Summary:
We are looking for an experienced Company Secretary with 6-10 years of relevant experience, preferably with strong exposure to listed companies and the breweries/alcoholic beverages industry. The incumbent will be responsible for ensuring robust corporate governance, regulatory compliance, secretarial functions, and timely coordination of Board and Committee meetings.
Key Responsibilities:
- Ensure compliance with the Companies Act, 2013, SEBI regulations, LODR Regulations, and other applicable corporate laws.
- Manage all statutory and regulatory filings with ROC, SEBI, stock exchanges, and other regulatory authorities.
- Coordinate and manage Board Meetings, Committee Meetings, General Meetings, and Annual General Meetings.
- Prepare agendas, notices, minutes, resolutions, and supporting documentation for Board and Committee meetings.
- Maintain statutory registers, records, and other secretarial documentation in accordance with applicable regulations.
- Ensure timely disclosures and compliances relating to listed-company requirements.
- Support the Board and senior management on matters related to corporate governance, regulatory changes, and secretarial compliance.
- Coordinate with stock exchanges, regulators, auditors, legal advisors, and other external stakeholders.
- Monitor changes in applicable laws, regulations, and SEBI circulars and assess their impact on the organisation.
- Assist in corporate actions such as dividends, share transfers, rights issues, preferential allotments, buybacks, and other securities-related matters, as applicable.
- Ensure proper maintenance of records and compliance calendars and track closure of statutory obligations.
- Provide guidance to internal stakeholders on corporate law and governance-related matters.
- Support due diligence, regulatory audits, and other compliance reviews.
Required Skills & Qualifications:
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- 6-10 years of relevant experience, preferably with a listed company.
- Strong knowledge of SEBI LODR, Companies Act, 2013, Securities Laws, and Corporate Governance.
- Experience in handling Board/Committee meetings and listed-company compliances.
- Strong understanding of stock exchange filings and regulatory disclosures.
- Excellent communication, documentation, stakeholder-management, and organisational skills.
- Ability to work independently and manage multiple regulatory deadlines.
- Experience in the breweries, alcoholic beverages, FMCG, or other regulated industries will be preferred.
Preferred Candidate Profile:
- Experience working closely with the Board of Directors, senior management, and statutory/regulatory authorities.
- Strong attention to detail with a high degree of integrity and confidentiality.
- Good understanding of corporate governance practices in a listed-company environment.
- Prior experience in the breweries/beverages industry will be an added advantage.
