As a Company Secretary , you will be responsible for IPO execution, SEBI compliance, stock allocation, ESOP structuring, and corporate governance. You will collaborate with investment bankers, legal advisors, auditors, and regulatory bodies to ensure all statutory requirements are met for a successful IPO and beyond. Key Responsibilities: 1. IPO Preparation & Stock Market Compliance: - Spearhead the IPO process, ensuring compliance with SEBI (ICDR) Regulations and Listing Obligations & Disclosure Requirements (LODR). - Coordinate with merchant bankers, underwriters, stock exchanges (NSE/BSE), SEBI, and ROC for IPO documentation and approvals. - Ensure timely preparation and submission of DRHP, RHP, and other IPO-related filings. - Manage pre- and post-listing compliance, investor disclosures, and reporting requirements. 2. SEBI & Regulatory Compliance: - Ensure compliance with SEBI regulations, Companies Act, FEMA, and Insider Trading Laws. - Handle corporate filings, stock exchange disclosures, board resolutions, and SEBI correspondences. - Monitor corporate governance policies and ensure adherence to legal and regulatory frameworks. 3. Stock Allocation & ESOP Management: - Oversee stock allocation for IPO subscribers, QIBs, anchor investors, and retail investors. - Design and manage Employee Stock Option Plans (ESOPs), ensuring compliance with SEBI (SBEB) Regulations. - Handle ESOP structuring, vesting, issuance, and taxation aspects for employees and key stakeholders. 4. Board & Shareholder Management: - Organize board meetings, AGMs, EGMs, and prepare minutes, resolutions, and compliance reports. - Ensure timely filing of ROC/MCA forms, regulatory reports, and investor communications. - Maintain shareholding structures, corporate records, and statutory registers. 5. Investor Relations & Corporate Governance: - Act as the primary liaison between ICCS, investors, stock exchanges, and regulatory bodies. - Assist in investor roadshows, regulatory announcements, and shareholder engagements. - Ensure transparent communication and compliance with post-listing obligations. Key Skills & Requirements: - Qualified Company Secretary (CS) with 4 years of experience in capital markets, IPOs, and SEBI compliance. - Expertise in NSE/BSE listing processes, stock allocation, and corporate governance. - Strong knowledge of SEBI (LODR), ICDR Regulations, Companies Act, and Insider Trading Laws. - Proven experience in IPO execution, ESOP structuring, and post-listing compliance. - Excellent regulatory knowledge, legal drafting, and stakeholder management skills. - Strong communication and analytical skills to handle complex regulatory frameworks.
