Job Title: Company Secretary
Experience- 5+ years
Location: Mumbai
Job Purpose:
To support the Trustee Company by ensuring compliance with statutory and regulatory requirements, effective corporate governance, and smooth functioning of Board and Committee processes.
Key Roles & Responsibilities:
- Prepare agendas, notes, and papers for Trustee Board meetings, Committee meetings, and Annual General Meetings (AGMs) track and follow up on action points
- Convene and service AGMs, including drafting resolutions, recording minutes, and filing statutory forms and annual returns with relevant authorities
- Maintain statutory registers and records, including registers of members and directors of the Trustee Company
- Handle official correspondence, collate information, prepare reports, and communicate Board/Trustee decisions to relevant stakeholders
- Provide proactive guidance and valuable inputs to Trustees on governance, compliance, and regulatory matters
- Liaise with regulators, auditors, legal advisors, and internal teams as required
Qualifications & Experience:
- Qualified Company Secretary (ACS) mandatory
- Prior experience in Asset Management Company, Mutual Fund, Financial Services, or regulated entities preferred
- Strong knowledge of SEBI regulations, Companies Act, and corporate governance practices
Key Skills:
- Strong understanding of regulatory and compliance frameworks
- Excellent drafting, documentation, and communication skills
- High attention to detail and ability to manage multiple deadlines
- Stakeholder management and advisory capabilities.
