
We are looking for a qualified and experienced professional for the role of Company Secretary & Legal Head for a global Retail Brand to lead the corporate secretarial and legal functions of the organization.
Key Responsibilities
- Handle corporate secretarial compliance's under the Companies Act, 2013, SEBI (LODR) Regulations, Secretarial Standards, and other applicable laws.
- Manage end-to-end secretarial activities including Board Meetings, Committee Meetings, and General Meetings, preparation of agenda, notices, minutes, resolutions, and follow-up on action items.
- Ensure timely maintenance of statutory registers, records, filings, returns, and disclosures with ROC, MCA, SEBI, Stock Exchanges, and other authorities.
- Advise the Board and senior management on corporate governance, statutory obligations, compliance requirements, and legal risks.
- Draft, review, vet, and negotiate commercial contracts, agreements, legal notices, policies, NDAs, vendor agreements, lease agreements, and other legal documents.
- Provide legal support to business teams on contracts, transactions, documentation, employment-related matters, and routine business operations.
- Coordinate with external legal counsels on litigation, disputes, notices, claims, legal opinions, and case follow-ups.
- Support IPO preparedness, due diligence, drafting and review of offer-related documentation, coordination with merchant bankers, legal counsels, auditors, registrars, and regulatory authorities.
- Assist in listing-related activities, stock exchange compliances, and post-listing governance and disclosure requirements.
- Monitor changes in applicable corporate, commercial, labour, and other business laws and drive implementation of necessary changes.
- Liaise with auditors, regulators, consultants, RTAs, and legal advisors for both secretarial and legal matters.
- Review and strengthen internal governance frameworks, legal compliance processes, and policy documentation.
- Handle legal correspondence and ensure proper documentation, tracking, and closure of compliance and legal matters.
Eligibility Criteria
- Qualified Company Secretary and active ICSI Member.
- LLB / LLM preferred.
- 10+ years of post-qualification experience in company secretarial and legal functions, preferably in a listed company / IPO-bound company / retail / consumer-facing organization.
- Strong working knowledge of Companies Act, SEBI Regulations, Secretarial Standards, contract law, corporate law, and general commercial legal matters.
- Hands-on experience in drafting/reviewing contracts, handling legal documentation, and coordinating with external counsel.
- Exposure to IPO process, due diligence, listing requirements, and interaction with merchant bankers / legal advisors / regulatory bodies will be highly preferred.
- Exposure to listed company compliance and stock exchange regulations will be an added advantage.
- Strong communication, drafting, stakeholder management, and problem-solving skills.
