Role Overview:

We are seeking a seasoned Company Secretary and Compliance professional to join our leadership team in Delhi. In this pivotal role, you will serve as the primary custodian of corporate governance, ensuring our NBFC operations remain strictly aligned with the evolving regulatory landscape set by the RBI and other financial authorities. You will work closely with the Board of Directors, senior management, and external auditors to navigate complex legal frameworks, manage board processes, and mitigate institutional risk. By fostering a culture of transparency and rigorous compliance, you will directly safeguard the organizations reputation and enable sustainable business growth in a highly regulated financial sector.

Key Responsibilities:

- Oversee end-to-end corporate secretarial functions, including the management of board meetings, general meetings, and statutory filings to ensure full compliance with the Companies Act and secretarial standards.

- Direct the regulatory compliance framework for NBFC operations, proactively monitoring RBI guidelines and circulars to ensure the organization remains ahead of policy shifts.

- Lead internal and external audits by coordinating with stakeholders and regulatory bodies to resolve queries, ensuring zero-tolerance for non-compliance.

- Advise the Board and senior leadership on governance best practices and legal implications of strategic business decisions to minimize operational and legal exposure.

- Manage relationships with regulatory authorities, including the Registrar of Companies and the Reserve Bank of India, to facilitate smooth operational approvals and reporting.

Required Skillset:

- Demonstrated expertise in managing the complex regulatory requirements specific to the NBFC sector, with a deep understanding of RBI Master Directions and corporate governance codes.

- Exceptional ability to communicate complex legal and regulatory concepts to non-legal stakeholders and the Board of Directors with clarity and authority.

- Proven track record of navigating high-pressure environments, requiring a proactive approach to problem-solving and the ability to manage multiple regulatory deadlines simultaneously.

- Strong interpersonal skills to build and maintain professional relationships with regulators, auditors, and internal department heads.

- Qualified Company Secretary (ACS/FCS) with a strong academic background, possessing 10 to 18 years of relevant experience in the financial services or NBFC industry.

- Ability to work effectively in an on-site environment in Delhi, demonstrating leadership and a hands-on approach to team management and organizational compliance.
