
Role Overview:
We are looking for a seasoned Company Secretary & Compliance Head to lead the organisations Compliance, Regulatory Affairs and Corporate Secretarial functions. The role will be responsible for strengthening the overall regulatory framework, corporate governance standards and Board processes, while ensuring adherence to applicable RBI, Companies Act and other regulatory requirements.
This is a senior leadership position requiring strong regulatory expertise, independent judgment, governance orientation and the ability to engage confidently with the Board, senior management and regulatory authorities.
Key Responsibilities:
1. Compliance & Regulatory Leadership:
- Provide strategic leadership for the organisation-wide compliance function.
- Develop, strengthen and continuously enhance the Compliance Management Framework in line with applicable RBI requirements.
- Establish a structured, risk-based approach to compliance monitoring and annual compliance planning.
- Identify emerging regulatory risks and ensure timely mitigation and escalation.
- Serve as the key interface for RBI inspections, supervisory reviews and regulatory interactions.
2. Compliance Governance & Independence:
- Ensure the compliance function operates with appropriate independence, authority and organisational access.
- Maintain effective mechanisms for identifying, assessing and reporting material compliance issues.
- Escalate significant regulatory and compliance matters to the Managing Director, Audit Committee and Board.
- Establish strong governance mechanisms for tracking remediation and closure of compliance observations.
3. Regulatory Advisory & Policy Framework:
- Lead interpretation and implementation of changes in RBI regulations and other applicable laws.
- Provide regulatory guidance to senior management and business teams on new products, business initiatives, processes and strategic partnerships.
- Develop and periodically review compliance policies, regulatory frameworks, codes of conduct and SOPs.
- Drive effective regulatory change management across the organisation.
4. Corporate Secretarial & Board Governance:
- Act as the Company Secretary and ensure compliance with the Companies Act and applicable corporate laws.
- Lead the end-to-end corporate secretarial function, including Board and Committee governance.
- Manage Board and Committee calendars, agendas, papers, minutes and follow-up actions.
- Ensure timely completion of statutory filings, disclosures and other corporate compliance requirements.
- Oversee applicable listing, disclosure and governance obligations, wherever relevant.
5. Compliance Monitoring, Reporting & Culture:
- Establish appropriate compliance monitoring and testing mechanisms across business and support functions.
- Develop meaningful compliance dashboards and management information for senior leadership, the Audit Committee and Board.
- Track regulatory observations, action plans and remediation timelines.
- Build a strong organisation-wide culture of compliance through awareness initiatives, training and communication.
- Promote ethical conduct and adherence to internal policies and regulatory expectations.
6. Stakeholder & Regulatory Management:
- Develop strong working relationships with RBI and other relevant regulatory/statutory authorities.
- Partner closely with the Managing Director, Board, Audit Committee and senior leadership on regulatory and governance matters.
- Provide independent challenge and constructive advice on business decisions where regulatory or governance considerations arise.
- Represent the organisation in key regulatory, governance and compliance forums.
Candidate Profile:
- Qualified Company Secretary.
- LLB / CA / relevant compliance or regulatory certifications would be an advantage.
- 20 - 25 years of relevant experience in Compliance, Regulatory Affairs and Corporate Secretarial functions.
- Strong experience within NBFC / BFSI / financial services is essential.
- Proven exposure to RBI regulations, compliance frameworks and regulatory supervision.
- Should have handled or been closely involved in RBI inspections and supervisory interactions.
- Strong experience in Board governance, corporate secretarial matters and statutory compliance.
- Experience working with senior management, Audit Committees and Boards is highly desirable.
- Prior experience in a senior compliance/secretarial leadership role would be preferred.
