Description:
A Leading Alternate Asset Management Private Limited is looking for applications for the post of Company Secretary for their Mumbai Head Office.
- Managing Corporate Secretarial of Multiple Group including reviewing Agenda, Minutes, Forms of Investment Manager, Trustee and other group entities
- Keep Group Companies Records and maintain the Statutory Registers as required under the Companies Act, 2013.
- Making a detailed list of compliances arising out of any new regulations/ circulars and immediate action plan (SEBI AIF Regulations, SEBI Regulations for Intermediaries, Companies Act etc)
- Implementing Tech solutions in the field of Compliance and Governance
- Conducting regular training sessions for Directors, Employees, CSR, PIT Obligations, AML, POSH, Whistle Blower
- Overseeing CSR expenditure programs, Annual Action Plan and its compliance part
- Preparing Industry Regulatory Updates and its implication on Multiples and Portfolio Companies
- Assisting in ensuring compliance with all SEBI Circulars applicable to AIFs, SEBI registered Intermediaries and PMS and Fund Documents
- Maintaining Structural Digital Database Solution for the Company
- Assisting in reviewing Compliance Programs of Portfolio Companies
- Reviewing Policies, Minutes, governance practices of Portfolio Companies and preparing a roadmap for improvement and value creation
- Ensuring and reviewing Shareholder Agreement compliances by the Portfolio companies
- Ensuring implementation of Compliance Program of Multiples and group companies
- Ensuring all the Policy compliances are done by relevant departments
Requirements:
- Company Secretary with 5-7 Years of experience (LLB/ MBA qualification is an added advantage)
- Having Practical Knowledge & Experience of compliances under SEBI Regulations (PIT/LODR/AIF Regulations), RBI Master Directions for NBFC, FEMA and Companies Act 2013.
- Excellent knowledge of Company Law and its application including Secretarial Standards, and other laws as applicable to a Company under the Companies Act, 2013, Secretarial Standards.
- Excellent communication skills
