Role Overview:
As a Company Secretary based in Chennai, you will serve as the primary custodian of corporate governance and regulatory compliance for the organization. This role involves working closely with the Board of Directors, senior leadership, and external regulatory bodies to ensure that all corporate actions align with the Companies Act and other relevant legal frameworks. You will play a pivotal role in maintaining the integrity of corporate records, managing high-stakes board interactions, and mitigating legal risks, thereby ensuring the company maintains its reputation for transparency and operational excellence.
Key Responsibilities:
- Manage the entire lifecycle of board and committee meetings, including drafting agendas, recording minutes, and tracking action items to ensure seamless governance.
- Oversee comprehensive statutory compliance programs to ensure the organization adheres to all applicable corporate laws, SEBI regulations, and industry-specific mandates.
- Coordinate and facilitate statutory audits and secretarial audits, acting as the primary liaison with auditors to ensure timely and accurate reporting.
- Draft, review, and negotiate complex commercial contracts and legal agreements to protect the company's interests and minimize liability.
- Maintain and update all statutory registers and records in accordance with the Companies Act to ensure the company remains audit-ready at all times.
- Advise the management team on evolving regulatory changes and governance best practices to support informed decision-making.
Required Skillset:
- Possess a deep functional understanding of the Companies Act, 2013, and related corporate laws, with a proven ability to interpret and apply these regulations in a corporate environment.
- Demonstrate strong interpersonal skills to effectively communicate with board members, senior stakeholders, and external legal counsel.
- Exhibit meticulous attention to detail in documentation, contract drafting, and record-keeping to ensure absolute accuracy in all filings.
- Hold a professional qualification as a Company Secretary (ACS/FCS) with 5 to 9 years of relevant experience in managing corporate secretarial functions.
- Show adaptability in a fast-paced, professional environment, with the ability to manage multiple priorities and deadlines effectively while working from our Chennai office.
